Role Overview
We are seeking a qualified attorney to join our legal department. The ideal candidate will possess experience in traditional financial markets and demonstrate the ability to adapt to the dynamic and entrepreneurial environment of our organization. A strong desire to tackle cutting-edge challenges within the cryptocurrency sector is essential, along with the capability to navigate regulatory complexities in interconnected global markets.
This position encompasses all jurisdictions where Wintermute operates, including the UK and Singapore, and covers all products and relevant legal areas, with an emphasis on commercial and regulatory law. You will collaborate closely with the legal team and engage directly with various business units, including trading, business development, product, and operations. Furthermore, you will participate in projects with senior leadership, including the COO and CEO.
Key Responsibilities:
- Lead legal and commercial negotiations: Draft and negotiate agreements related to our business operations, including OTC spot trading, liquidity provision, derivatives documentation, and software agreements.
- Conduct regulatory research and provide compliance guidance: Collaborate with the General Counsel and Deputy GC to monitor legal and regulatory developments across jurisdictions; support compliance with financial regulations (FCA, MAS, SEC, CFTC, etc.); advise on the regulation of decentralized finance and protocols.
- Corporate governance: Assist in managing the corporate structure and governance across multiple entities and jurisdictions.
- Dispute resolution: Support the legal team and business units in efficiently resolving commercial disputes while safeguarding the Company's interests.
- External counsel management: Oversee external legal counsel as necessary, including employment law and jurisdiction-specific counsel. Assist in managing legal expenditures and reviewing legal invoices.
Required Qualifications:
- 2-5 years of legal practice experience (qualified) at a leading law firm or as in-house counsel specializing in financial services, fintech, or crypto.
- Experience in a high-performance, dynamic, and rapidly growing environment is highly preferred; self-motivation and drive are essential.
- Strong understanding of commercial law related to financial services, including financial services contracts, trading agreements, and derivatives documentation.
- Knowledge of regulations governing proprietary trading, financial services, and crypto, particularly in the UK, Singapore, the USA, and/or EU, along with a general understanding of regulations in other jurisdictions.
- Familiarity with the crypto industry, including types of tokens, token governance, DAOs, blockchain foundations, and decentralized organizations is strongly preferred.
- Experience in commercial litigation or dispute resolution is a plus.
- A willingness to learn about other areas of law and business quickly.
- Proven ability to understand the broader picture and commercial strategy; adept at grasping new functional areas with a cross-functional mindset.
- A strong interest in algorithmic trading and decentralized finance.
- Detail-oriented, with a focus on delivering client-centric solutions to legal and business challenges.
- Proficiency in MS Office, Google Suite, CRM (e.g., Hubspot), and CLM (Ironclad and/or Spotdraft).
