The Wellcome Trust is a prominent global charitable organization dedicated to enhancing health for all by funding scientific research, spearheading policy initiatives, and fostering collaborative partnerships.
We are seeking a Corporate Governance Specialist to become a vital member of our team.

In this role, you will be part of the Ethics, Governance, and Compliance division, focusing on our investment subsidiaries while reporting to the Governance Lead.

The Governance Team plays a crucial role in supporting the Chief Legal Officer and Company Secretary, the Chair, and the Board, by promoting exemplary governance practices throughout the Wellcome Group. This team ensures that the Board is equipped with the necessary policies, processes, information, time, and resources to operate effectively and efficiently.

This position is accountable for delivering governance and company secretarial assistance to the investment and other group subsidiaries, as well as aiding subsidiary board chairs and directors in fostering good governance across the relevant entities within the Wellcome Group.

As a Corporate Governance Specialist, your responsibilities will include:

Providing board support for the Wellcome Group's investment subsidiaries, which typically convene biannually, along with several short ad hoc meetings throughout the year. This includes coordinating agendas, preparing board and committee documentation, drafting minutes, and creating governance-related papers, as well as assisting in the preparation of necessary sections for the Annual Report and Accounts.

Offering support and oversight to the secretary (who is part of the Investment Team) for the Board Investment Committee, including guidance on best practice governance procedures. There is also the potential to assume the role of secretary for this committee, leading governance aspects such as succession planning, board and committee effectiveness, and updates to terms of reference for the investment and other relevant subsidiaries, the Investment Committee, and the ESG Committee.

While the Governance Officer provides day-to-day oversight of statutory compliance, this role offers senior support and oversight as needed, particularly for more complex transactions, as well as company secretarial assistance for corporate transactions, such as capital reductions.

Ensuring subsidiary compliance with the Board Declaration and Management of Interests Policy, the Gifts and Hospitality Policy, and the Expenses Policy, along with the Policy and Guidelines for Staff Serving on Boards, is also a key responsibility.

Collaborating with the Investments Team to ensure seamless governance support for Wellcome's investment subsidiaries and striving to harmonize approaches is essential.

Additionally, you will work closely with Investments Legal on corporate transactions, new subsidiary incorporations, and other governance matters related to investments.

You will also provide induction and maintain learning and development plans for subsidiary board directors, as well as training on directors' duties and induction for staff appointed to boards, including joint ventures.

This position presents an excellent opportunity for a governance professional with experience in subsidiary management, particularly in investments and transactions, to lead and enhance our subsidiary governance framework while managing our ESG committee.

A solid understanding of governance and company secretarial principles, including experience in subsidiary governance and oversight of group governance requirements, is essential.

Experience in providing governance and company secretarial support for routine corporate transactions, such as capital reductions and share allotments, as well as offering board and committee support for multiple concurrent meetings, is required.

Familiarity with working alongside an investment team or chief investment officer on company secretarial matters, as well as being part of an effective governance function, is preferred. Exposure to a charitable environment, ESG, and/or investments is advantageous.
