Job Overview

As an integral part of the Corporate Governance team, the selected candidate will play a key role in delivering comprehensive secretarial services to the Group and its international subsidiaries across various regions including Europe, Asia, Australasia, and the Middle East.

Key Responsibilities:

Support the UK team within a dynamic and collaborative international Corporate Governance framework, ensuring all essential company secretarial functions are executed effectively for the Group's subsidiaries. Focus areas include statutory compliance, meticulous record-keeping, annual and year-end processes, and various ad-hoc initiatives. Specific duties involve:
  • Overseeing compliance and management of subsidiaries, branches, and other entities, including:
  • Establishing and registering new entities.
  • Managing the deregistration or liquidation of existing entities.
  • Maintaining statutory documentation and records within the entity management database.
  • Drafting board minutes and shareholder resolutions for both routine and special matters.
  • Submitting statutory returns and accounts.
  • Providing advisory support for projects, bids, and KYC documentation.
  • Preparing Powers of Attorney.
  • Facilitating document and contract execution requests.
  • Assisting the M&A Team with mergers, acquisitions, divestitures, and related project support.
  • Reviewing UK subsidiary accounts as needed.
  • Offering assistance to other members of the Legal team.
Qualifications and Skills:
  • Demonstrated experience in company secretarial roles, preferably within an international Corporate Governance environment.
  • Proficiency in managing entity administration across various jurisdictions.
  • Strong technical knowledge of company secretarial practices, ideally within a complex international organization.
  • Intermediate skills in Microsoft Office.
  • Familiarity with entity management platforms (e.g., EnGlobe, Blueprint) is advantageous.
Educational Background:
  • ICSA qualified or currently pursuing ICSA qualification, ideally with experience in an international corporate governance setting.
OR
  • Degree qualified (or equivalent), with a willingness to pursue ICSA as postgraduate education.
Personal Attributes:
  • Excellent organizational and administrative capabilities.
  • Strong communication skills, particularly in written English.
  • Ability to prioritize and manage a diverse workload independently.
  • Comfortable working in a fast-paced environment with tight deadlines.
  • Professional demeanor and a collaborative spirit.
  • Strong interpersonal skills, including tact, integrity, and confidentiality.
  • Self-driven with effective problem-solving and decision-making abilities.
  • Meticulous attention to detail is essential.
Work Environment:

This position is based in the UK, with the primary location being either Epsom or London, and offers the possibility of hybrid or remote working arrangements as per company policies. Attendance at the office for meetings may be required periodically.
