YOUR ROLE
We are seeking a qualified or part-qualified Chartered Company Secretary to join our Company Secretarial Group (CSG) in London. The CSG consists of a small team of Company Secretaries supported by administrative staff, all managed by a Corporate Governance lawyer. This group oversees the corporate administration of over 100 UK entities and several international entities, including regulated companies. The CSG utilizes Blueprint OneWorld (BPOW) for entity management alongside an internal global database.
This role offers a unique opportunity to gain comprehensive insights into the corporate responsibilities managed by the CSG and the related governance practices. The successful candidate will collaborate with professionals at various levels across the firm.
KEY RESPONSIBILITIES
  • Provide administrative assistance in delivering company secretarial services to Goldman Sachs entities in EMEA, including preparing for board and committee meetings, distributing materials, and taking minutes.
  • Coordinate with other divisions (legal, compliance, regulatory liaison, executive office) to ensure efficient board and committee operations.
  • Assist the CSG in maintaining accurate entity records and processing key returns to Companies House, particularly Annual Filings, Officer changes, and maintaining the PSC register.
  • Support the CSG in establishing new entity records within the management systems.
  • Help maintain the integrity of entity and director information on the database, validating data regularly.
  • Collaborate with overseas company secretarial service providers for special purpose vehicles in other jurisdictions.
  • Respond to requests for timely management information and reports on GS entities and committees.
  • Advance the preparation of Secretary's Certificates and Delegated Signing Authorities, including Powers of Attorney.
  • Review and assist in implementing emerging corporate governance developments.
  • Maintain regular contact with senior members and relevant groups across the firm, including credit, treasury, New York legal, compliance, controllers, and tax, as well as external counsel and notaries.
  • Contribute to enhancing the efficiency and effectiveness of the Company Secretarial Group.
SKILLS AND EXPERIENCE
  • Qualified or part-qualified Chartered Secretary (ACIS or FCIS).
  • Experience in preparing for, attending, and minuting board and committee meetings, including agenda setting and preparation of board packs.
  • Entity management experience with exposure to managing multiple entities and all aspects of Company Secretarial Practice.
  • Practical experience with BPOW, Diligent, e-filing at Companies House, and other online resources.
  • Strong organizational skills and attention to detail.
  • Able to work independently, manage deadlines, and perform well under pressure.
  • Excellent interpersonal and communication skills, with a collaborative team spirit.
  • Enthusiastic, flexible, proactive, and interested in company secretarial matters and the operations of various business divisions at Goldman Sachs.
  • Experience in a Financial Services Company Secretarial role is preferred, though relevant experience from other sectors will be considered.
