Department Overview
The Engagement Terms Team (ETT) serves as a global function, delivering top-tier support to the firm's partners and fee earners by offering strategic legal guidance on a variety of client engagement agreements and associated risk issues. Engagement terms are crucial contracts that govern our relationships with clients and are essential for effective risk management across key regulatory and commercial areas.
Key Responsibilities
- Developing and implementing strategies, policies, and standards for engagement terms across the firm.
- Maintaining a comprehensive suite of standard engagement term templates for firm-wide use.
- Reviewing and negotiating engagement terms with both internal and external stakeholders to ensure compliance with firm policies and professional standards.
- Identifying and assessing potential risks and opportunities related to engagement terms, including operational, legal, regulatory, and reputational risks, and creating effective risk mitigation strategies.
- Communicating the status and outcomes of engagement terms and providing insights for continuous improvement.
- Collaborating with partners and support teams to ensure effective management of engagement terms and associated risk activities.
- Conducting research on engagement terms and risk management best practices, while staying updated on relevant laws and regulations.
- Providing legal support on secondment processes and related risk issues.
- Managing inquiries related to engagement terms and client risk queries.
- Offering legal guidance on the application of engagement terms during client audits.
- Overseeing the engagement terms aspects of matter inception.
- Addressing information barriers and advising on key contractual terms.
- Maintaining records of executed engagement terms.
Role Overview
The diverse client base of our firm is increasingly sophisticated in their approach to engaging external counsel. A&O Shearman has established a dedicated team of contract law experts to meet these evolving expectations.
This position presents a unique opportunity to work within the ETT while closely collaborating with the Data Privacy team. The successful candidate will:
- Lead the identification and analysis of key contractual terms in complex client engagement agreements, focusing on data privacy and information security.
- Provide practical support and guidance on compliance with relevant terms in the context of the firm's global operations.
- Maintain detailed records of key terms, utilizing technology to analyze and report on their implications for the business.
Additional Responsibilities
- Support the initiatives of the ETT and Data Privacy teams.
- Establish and nurture relationships with key stakeholders.
- Coordinate internal review teams and develop training materials.
- Create and deliver presentations and reports.
- Assist in the development of relevant policies and documentation.
- Promote efficient service delivery and continuous improvement within the ETT.
- Act as a point of escalation for key terms within the ETT.
Qualifications
- Qualified Lawyer with strong skills in contract negotiation and review.
- Ability to provide pragmatic, business-oriented advice on compliance with contractual obligations.
- Proven track record in systemizing processes, preferably in a risk management context.
- Experience in advising diverse business stakeholders on requirements and priorities.
- Excellent IT skills, including proficiency in Microsoft Office applications.
- Enthusiasm for technology and the ability to communicate technical processes effectively.
- Strong organizational skills and the ability to manage a busy workload.
- Commercial acumen with the ability to influence strategic decisions.
- Proven ability to work independently and proactively.
