Your primary responsibility will be to assist the Head of Corporate Governance within a dedicated team, focusing on the support of the Companies House Main Board and its associated boards and sub-committees.

You will ensure the effective implementation of corporate governance frameworks throughout the organization while providing exceptional support to Executive Directors and key stakeholders.

Key Responsibilities

Your typical duties will encompass:

  • Producing comprehensive minutes of meetings, clearly communicating decisions and actions from boards and committees, and ensuring transparency in decision-making processes;
  • Maintaining up-to-date internal guidance and information regarding corporate governance practices on the Companies House Intranet;
  • Collaborating closely with the Head of Corporate Governance and committee Chairs to ensure decisions are made in the correct forums and that committees operate in accordance with their Terms of Reference (ToRs);
  • Assisting in the regular evaluation of ToRs;
  • Reviewing documents and collaborating with authors to ensure the creation of high-quality, impactful papers that facilitate effective discussions and decision-making;
  • Supporting the periodic assessment of the effectiveness of Boards and Committees and aiding in the implementation of necessary improvements;
  • Ensuring the internal Governance Guide is current and accurately populated across the organization;
  • Coordinating agendas, documents, and meetings for boards and committees to a high standard;
  • Providing excellent Secretariat support to boards and committees to ensure their effective operation, including executing key administrative tasks;
  • Offering professional and high-quality support to Executive Directors;
  • Building and maintaining professional relationships with Executive Directors and Non-Executive Directors (NEDs), representing Companies House appropriately in all interactions.

Candidate Profile

As a Corporate Governance Officer, you will be integral to the Chief Executive’s team, supporting the Main Board and its wider committees in executing the organization’s strategy. You will ensure the seamless operation of boards and committees, guaranteeing that decision-making is well-informed and that discussions adhere to Companies House’s governance standards and frameworks.

The ideal candidate will be highly organized, professional, and proactive, capable of managing conflicting priorities. You will possess excellent communication skills, both written and verbal, and demonstrate the ability to take initiative. You will be adept at working independently as well as collaboratively within a team, with a capacity to adapt to change and perform well under pressure.

Essential Skills and Experience

  • Proven ability to plan, execute, and document meetings that foster high-quality strategic discussions and effective decision-making;
  • Strong communication skills, utilizing appropriate styles to enhance understanding and impact;
  • Exceptional writing abilities, with meticulous attention to detail in drafting minutes and documentation;
  • Strong negotiation skills;
  • Ability to adapt to change and thrive under pressure;
  • Capability to create and maintain a comprehensive forward plan for all boards and committees.

Experience Requirements

  • Solid understanding of good corporate governance principles, particularly within a ministerial department or similar organization;
  • Experience in working flexibly and efficiently, planning and prioritizing to meet tight deadlines;
  • Proven experience in building consensus among diverse NEDs and Executive Directors with varying priorities;
  • High level of integrity with a demonstrated ability to handle sensitive information;
  • Relevant experience in a similar role;
  • Understanding of Companies House’s objectives, strategies, and plans;
  • A relevant professional qualification.
