Company Secretary position with environmental organisation ITOPF

An impressive, forward-thinking organisation in the environmental sector seek a Company Secretary to join them in a senior management role with control of the Governance and Company Secretarial strategy.

This role will be part of the senior management team and will directly manage three department heads inclusive of finance, CoSec and Opps.

Location: London office hybrid working

Reports to: Managing Director

Salary to £130,000 + benefits

The Role:

- To ensure that the Company, its Board and Management are compliant with all secretarial standards.
- Provide Directors and Management with the guidance required in exercising powers and discharging their duties and responsibilities.
- Ensuring that corporate Registers, statutory books and Companies House filings are up to date.
- Preparation of papers and resolutions for AGM, Board and Advisory Committee Meetings.
- Convening Meetings, preparing agenda’s and minuting proceedings of the AGM and Board.
- Support the Chairman and Managing Director on specific projects affecting the business.
- Ensuring Corporate Policies, including those concerning health and safety, risk management, bribery & corruption, document management & GDPR are maintained current and approved.
- Providing advice and training on Corporate Governance issues.
- Management of the HR & Pensions Manager, following best practice as regards financial reporting, tax and auditing.
- Leading on significant contract review and negotiation
- Review of audit company performance and proposals for changes in auditors.
- Ensure finance, governance and accounting practices and policies remain current
- Identification of business risks and development of an effective risk management strategy.
- Ensure company insurances are appropriate, cost effective and regularly reviewed.
- Advise on, and assist with, the preparation of papers for the Pension Trustee meetings, and the taking of minutes of these meetings

**Experience**:

- A qualification with ICSA and a Chartered Secretary and have previously held office as a Company Secretary/Head of Governance
- Relevant qualifications and experience in the field of company law
- Proven experience of assessing business risks
- Knowledge of governance in SMEs, ideally in shipping/maritime sector or Membership organisations.
- Knowledge of IT systems and processes suitable for providing efficient, cost-effective financial and governance reporting for SMEs.
