**Team/Role Overview**

The Belfast Company Secretarial Team sits within the wider Citi Legal team and was established in 2019 to support the existing teams of Company Secretaries based in London and Dublin. The team currently supports the key regulated Citi entities in UK and Ireland and provides a full range of Board and Committee governance services.

The Head of the Belfast Company Secretarial Team will lead and manage a team of Company Secretaries and Governance / Legal professionals providing support to the UK and Ireland Legal entities. The successful person will ensure that resources are allocated and manged appropriately, establish and maintain robust processes and procedures appropriate to the responsibilities of the team.

**What you’ll do**
- Working closely with the company secretarial teams in London and Dublin and other jurisdictions if appropriate.
- Allocation and monitoring of resources from the Belfast team to the UK and Irish legal entities to ensure appropriate coverage of Board and Board Committee meetings.
- Mange and oversee the Belfast Company Secretariat and oversight of assignments allocated to ensure the highest quality of delivery of services and support.
- Establishment of processes and procedures covering the work of the team to ensure consistency of services and alignment with Citi policies and procedures.
- Management of the POA / Authorised signatory processes for UK and Ireland.
- Recruitment and training of team members in all aspect of company secretarial services including building relationships with local universities.
- Review and implement technology solutions to achieve efficiencies as appropriate.

**What we’ll need from you**

We are seeking a strong people manager with proven board governance and company secretarial experience including interacting with Board Directors and Senior Management.
- Previous Company Secretarial and Governance experience essential
- Significant management experience is a key attribute, ideally including working as part of a multi-jurisdictional team.
- Experience in complex financial services organisation a distinct advantage.
- Knowledge and deep experience of meeting management, minute taking and governance requirements for regulated entities in the UK and/or Ireland is important.
- Previous experience providing training strongly preferred, including the ability to train in minute taking.
- Knowledge of authorised signatory processes and procedures.
- Excellent organisational skills, ability to prioritise, attention to detail.
- Works well as part of a multi-jurisdictional team and ability to travel if required.
