Oversee a fair and open succession policy for new directors to sustain a diverse and talented board. Ensuring an induction is in place and development needs are met for new directors Assist with the development of commercial culture within the organisation, which is consistent with values of the delivery of efficient and effective service Execute the responsibilities of a company director according to the lawful and ethical standards, as referenced in Company law and the Community Interest Company registration o Act within their powers to ensure the company follows its constitution as set out in the Memorandum and Articles of Association Act in good faith to promote the success of the company for the benefit of its members, taking into consideration employees, suppliers, customers, the environment and the community Exercise independent judgement Carry out duties with reasonable care, skill and diligence Avoid conflicts of interest and duty, particularly in relation to the exploitation of information, opportunity or property Disclose to the company any personal interests they have. They must not divert business opportunities to themselves that ought to be available to the whole company or to practices within BNSSG Make a declaration of interest if appropriate. They may not be allowed to vote on matters if there is a conflict of interest Ensure the company accounts are prepared and submitted, and presented at the annual general meeting Not seek or gain benefit from a third party by reason of being a director, or by doing or not doing something Not act fraudulently, including with the intention of defrauding creditors or take bribes Not engage in wrongful trading allowing the company to carry on trading when they know (or ought to know) it is insolvent.
