Vibe Recruit's client have a fantastic opportunity for a Head of Governance to join their team based in Cardiff.

You will work with the Board of Trustees, Foundation Director and other senior leaders to develop reporting, risk management and assurance processes.

**Job Purpose**

The purpose of the role is to lead and manage governance, risk management and assurance, ensuring the Foundation continually strives for improvement and high standards.

**Key Responsibilities**
- Strategy & Policy _
- To support the development, implementation and evaluation of the strategic plan.
- To ensure strategic objectives are mapped against key policies.
- Leadership & Management _
- To demonstrate a commitment to the company's values, mission and ultimate goal.
- Cultivate, manage and maintain high level relationships and influence key stakeholders.
- To lead and manage the governance and assurance team.
- To be responsible for the analysis and evaluation of performance information, monitoring and reporting against outputs, outcomes and KPI's.
- Governance _
- To produce, and develop as a living document, the Board Forward Plan, working closely with the Foundation Director and Chair.
- To plan the reporting cycle, ensuring the synchronisation of Board Meetings and key deadlines.
- To ensure the quality, timeliness and thoroughness of Board and sub-committee documentation.
- To coordinate administrative support to the Board and sub-committees.
- To arrange suitable inductions and training for Trustees and arrange Trustee appraisals alongside the Chair.
- Risk Management, Assurance and Compliance _
- To coordinate the risk and assurance framework.
- To analyse and interpret the external environment in relation to regulation, legislation and governance and ensure the obligations are met.
- To develop a programme of meetings and training to ensure staff can follow policy and process with regards to risk identification and management.
- To develop and implement an annual programme of audits which addresses primary areas of risk, agreeing audit plans and scopes, and ensuring agreed recommendations are planned and implemented.
