**Main duties of the job**:
**RESPONSIBLE ONE OR MORE OF FOR BOARD COMMITTEES IN A SECREETARIAT SUPPORT ROLE**

**Working for our organisation**:

- The post holder will liaise directly with the chairman, executive and non-executive directors on a regular basis, and be responsible for working directly with them to develop agendas and forward plans for board committees. The post holder will have reasonable freedom to act on their own initiative within given parameters. Other key contacts will include the council of governors, chief executive, trust secretary, board secretary and external stakeholders including Monitor.

**Detailed job description and main responsibilities**:

- To provide appropriate managerial and administrative support to the board committees.
- Establish effective systems for developing and managing the forward planner and agenda for each committee as agreed with each chairman;
- To provide advice on compliance with the constitution and appropriate regulatory requirements to the chairs and executive leads of each board committee;
- Co-ordinate the production of papers, ensuring timely distribution of agendas and supporting papers for internal and external stakeholders;
- To draft the audit committee annual report to the board;
- To draft monthly committee reports to the board;
- Attend and minute specified meetings and accurately and appropriately record discussions and decisions taken;
- Ensure venues, facilities and refreshments are booked for committee meetings;
- Follow up meetings with action sheets and timely production of minutes for agreement with the relevant chairman;
- Monitor action against agreed points and ensure these are scheduled for matters arising or the forward planner as appropriate;
- Lead the introduction of electronic document management across all executive functional areas; ensure routine management and development of the system. This will required co-ordinating, engaging and training other administrative teams to ensure compliance;
- To work with the board secretary tin continuing to develop board and committee governance arrangements in the light of national good practice guidance;
- To assist with the auditing process of board and committee meeting arrangements.
