Role Summary

It will predominantly focus on equity incentive arrangements (including associated corporate governance, tax and securities issues) for UK listed companies, global financial institutions and for issuers outside the UK. The practice’s non-contentious work will allow associates to build long term relationships with clients advising on ongoing operational matters, while also advising on some of the most high profile public and private mergers and acquisitions, IPOs and other transformational transactions. There is also an opportunity to be involved in some of the contentious work that the team undertakes including the operation of malus and clawback and other incentive related disputes.

The associate will have the opportunity to gain broad experience and learn from an experienced, highly regarded and close-knit team. If the associate wishes to gain broader experience of employment law practice, that is readily available within the team should it be of interest.

Department

Our People & Reward team advises on all aspects of share plan and incentives matters, on a national and multi-jurisdictional basis. The global team consists of 21 partners and approximately 100 lawyers worldwide, advising clients on some of the most strategic and reputationally sensitive matters. The team works closely with other departments within the firm, providing them with specialist advice and input for projects they are managing. In London the team has 7 partners and 25 associates.

Key Responsibilities- Draft complex legal documents succinctly.- Negotiate issues or points alone or alongside partners.- Take full responsibility for work and delegate, manage and mentor trainees and utilise the resources of the Legal Services Centre where appropriate.- Participate at seminars/training with clients and other associates and work with other lawyers and professionals to drive business development initiatives.- Establish profile and relationships with partners and clients by displaying a good understanding of the clients’ current business and future objectives, and provide commercially orientated advice.- Maintain a structured and timely approach to financial management including regular review of work in progress, billing and unpaid bills.

- Intellectually strong, with top class academics.- Qualified lawyer.-
- Previous experience gained within a firm noted for its employment expertise is essential.- A willingness to actively be involved in business development activity.- A positive role model and team player, who will actively share knowledge and contribute to the development of the practice.

Competencies- Technical skills: excellent technical skills, recognised for own expertise, and the ability to draft complex legal documents clearly and in plain English.- Client relationships: able to anticipate and respond to the needs of the client to deliver exceptional service whilst looking for opportunities to nurture and deepen relationships.- Business advisor: able to identify, analyse and prioritise increasingly complex issues, and able to understand the impact of legal, business and market issues and analysis on technical documentation and the project.- People and team: able to work effectively as part of a team (including coaching and mentoring more junior lawyers) as well as building relationships across the firm.- Project management: able to juggle a variety of demands, and to manage time, client expectations in order to meet deadlines.- Business development: able to contribute to pitches and activities to win new work, and to develop internal and external networks, as well as building own knowledge/expertise in at least one sector.- Personal skills: credible, professional, able to work with a wide range of clients and people, willing to embrace change and take accountability for achieving results.
