We are looking for a company secretarial assistant to join our busy company secretarial unit which is integrated within our UK corporate team with offices in London, Manchester and Birmingham.
The role involves working alongside and supporting the head of the company secretarial unit in the delivery of company secretarial services to the firm's clients as well as providing support on company secretarial matters to the UK corporate team acrossits London, Manchester and Birmingham offices on transactional M&A and fundraising, corporate reorganisations and IPO structuring matters as they arise.
**Responsibilities**:
- incorporating new public and private limited liability companies and LLPs and advising clients on the requirements for incorporation from the availability of names to the information required from individuals for the purposes of incorporation.
- registering overseas branches and advising on requirements to register and maintain a branch
- assisting with AML document requirements for onboarding new clients
- setting up and maintaining new companies in our entity management system
- advising on PSC regulations and the register of overseas entities
- providing company secretarial support for individual UK entities and also for the UK portfolio of entities for multinational clients, including:
- assisting clients with filing confirmation statements
- preparing documentation for corporate actions such as director appointments and resignations, changes to accounting reference dates, registered office address, changes of company names, company strike offs, restoration to the register, filing special resolutionsand filing changes to Articles etc
- filing documents at Companies House for routine annual filings and to support transactional matters arising, such as managing the filing and timing for a same day capital reduction
- maintaining and updating company records and statutory books including filing of board minutes
- monitoring compliance dates for annual filings and liaising with clients
- providing the registered office address and dealing with registered office post and forwarding to clients
- obtaining certificates of good standing, trading certificates and other corporate documents from Companies House
- providing a contact point for clients with Companies House, such as for filing extensions, rectification of the register and for other issues arising
- working cohesively with fee earners in our UK corporate team
**Experience**:
Previous experience of company secretarial work within a professional services environment or within a corporate at group company level is preferred but not essential.
CGI qualified preferred or part-qualified or working towards qualification will also be considered.
