**About the Role**
We are seeking a highly skilled and experienced Senior Legal Counsel to join our legal team, with added responsibilities as the Company Secretary. The Senior Legal Counsel and Company Secretary will be responsible for providing strategic legal advice, corporate governance, and regulatory compliance expertise to support our organization's business objectives. This position requires a seasoned legal professional with a strong background in corporate law, exceptional analytical skills, and the ability to effectively manage a wide range of legal and governance matters.
You will partner with the business as a trusted adviser and assist with a broad range of general commercial and legal arrangements with a focus on commercial property matters, manage external lawyers and provide supervision and support to junior members of the team.
**Duties & Responsibilities**
- Provide expert legal counsel and strategic guidance to senior management and key stakeholders on a broad range of legal issues impacting the organisation's operations, including corporate governance, contracts, regulatory compliance, risk management, and litigation.
- Draft, review, and negotiate a variety of complex commercial agreements.
- Conduct legal research and analysis to assess risks, interpret laws and regulations, and provide recommendations to mitigate potential liabilities.
- Collaborate with cross-functional teams to support business initiatives and strategic transactions, including mergers and acquisitions, divestments, and corporate restructuring activities.
- Manage and oversee external legal counsel as needed, ensuring cost-effective and timely delivery of legal services while maintaining quality and adherence to company policies and standards.
- Develop and implement policies, procedures, and training programs to promote legal compliance and risk mitigation across the business.
- Stay abreast of legislative and regulatory developments relevant to the company's industry and operations, advising on potential impacts and recommending proactive measures to address emerging issues.
- Assist with the resolution of disputes and legal claims, including managing litigation, arbitration, and alternative dispute resolution processes.
- Provide guidance and mentorship to junior members of the legal team, fostering their professional development and growth.
- Represent the organization in negotiations, meetings, and other legal proceedings as required, demonstrating strong advocacy skills and professional demeanour.
- Advise, draft, and negotiate various documents, including for property acquisitions, divestments, leases (including variations and assignments), and section agreements under relevant planning law.
- Provide legal advice on key areas such as property and commercial contracts.
- Contribute to the preparation and drafting of reports and briefings for senior management to support decision-making.
- Support the Leadership team on various matters from time to time, including those related to M&A

- Bachelor’s degree in law (LL.B) from an accredited institution.
- Minimum 7 years post qualifying experience
- In-House experience 3 years plus
- Proven record of providing strategic legal advice and support to senior management and key stakeholders.
- Commercial Property transaction experience
- Extensive experience drafting, reviewing, and negotiating complex commercial agreements and transactions.
- Demonstrated ability to effectively manage legal risks and resolve complex legal issues in a dynamic business environment.
- Experience managing litigation and external legal counsel, with a successful history of achieving favourable outcomes.
- M&A experience
- Prior experience in the Retail and/or Convenience sector - Desirable
