**This is the job**:
As our **Assistant Company Secretary**, you’ll be part of a legal, privacy and company secretary team of highly engaged and high performing professionals. This role offers hybrid working where you have the flexibility to work between home and our London and Basingstoke offices. There is the potential to work fully remote as long as you can be available to attend Board and Committee meetings in London and Basingstoke and other ad hoc events.

**What will I be doing?**:
You’ll be the principal stakeholder for co sec on a day-to-day basis, managing, administering and co-ordinating all co sec activities of all AA entities, including governance practices and statutory compliance. You’ll be supported by and will work closely with the General Counsel and Company Secretary as well as the Heads of Legal. To be successful you’ll also need to build strong working relationships across the business and in particular with the Finance team.

You will also:

- Liaise with external co sec service providers in other jurisdictions as necessary, including Jersey and Gibraltar.
- Maintain statutory registers, and records for approximately 40+ entities, including the main operational entities, joint ventures, acquired business entities and legacy companies.
- Manage Board and Committee meetings on an end to end basis including diarising and preparing agenda, meeting packs and minutes, as required, in a timely manner and to a high standard, as well as allocation of subsequent actions, working closely with executives to ensure actions are delivered as set.
- Work closely with Executive and Non-Executive Directors and their respective Assistants providing professional, prompt support and information.
- Assist in ensuring compliance with all relevant laws and guidance and where appropriate, providing advice and guidance as required.
- Review & develop statutory compliance processes & procedures to reflect best practice and improve efficiency.
- Assist in implementing any restructuring or changes whether for tax or other purposes or in the preparation for or post completion formalities of corporate transactions such as M&A and refinancings.

**What do I need?**:
**Capability, knowledge, and experience**:

- Proven experience using GEMS or Blueprint software and an ICSA qualification/Degree level education
- Previous experience using Diligent isn't essential but would be desirable
- Excellent drafting and analytical skills and be disciplined in record keeping, documentation and organisation
- Strong IT skills in the MS Office suite is essential along with excellent written and verbal communication skills and proven experience in project management.
