**Main Responsibilities**
- Undertake various CoSec tasks, including:

- Incorporation of new entities and coordination of changes to existing group companies (change of name, change of directors, change of shareholders), in line with the business requirements;
- Maintaining and preserving secretarial records, statutory registers and books, in coordination with local counsel or corporate agents in the relevant jurisdictions;
- Coordinating the renewal of various licenses and registrations;
- Prepare organizational and simplified charts for internal and external stakeholders;
- Draft standard legal documents (e.g. board and shareholders’ minutes of meeting / written resolutions, POAs, NDAs, shareholder loan agreements, assignment agreements, novation agreements, etc.);
- Arrange signing and/or translation / notarization / apostillation / legalization of aforesaid documents in various jurisdictions, where required;
- Organize certified / legalized copies of original documents;
- Identify and provide the KYC teams with documents required for the group’s KYC functions; liaise with external consultants (legal counsel, registered agents, auditors and other advisors) in relation to their KYC requirements;
- Carry out research and produce summaries of findings;
- Monitor changes in relevant legislation and the regulatory environment and take appropriate action;
- Ensure the BB Energy’s entity management system is updated with all corporate changes;
- Co-ordinate the storage of corporate documents globally in different offices and arrange for global reviews to be held;
- Liaise with local agents, outside counsel/consultants and other administrative bodies in different jurisdictions (e.g. local company registrars, notary public, translation offices, foreign affairs offices, embassies);
- Manage and execute ad hoc projects, such as name changes, director changes, change of year end, registered office and auditors etc.
- Prepare and maintain up to date corporate reports and corporate charts;
- Other ad hoc legal and company secretarial projects.

**Skills & Experience**
- Bachelor’s degree
- At least 3 years’ experience working in a company secretarial area, fund administration or similar environment, or inhouse corporate counsel with company secretarial responsibilities preferably in the commodities trading sector;
- Experience maintaining a company secretarial database;
- Excellent use of Microsoft office and Internet, touch typing skills;
- Excellent use of English (verbal and written);
- Excellent organizational skills and time management skills;
- Ability to keep clear and concise records and to add value to the Company Secretarial role;
- High degree of professional ethics and integrity;
- Effective communicator, able to establish and maintain strong professional relationships (internal and external);
- Proven ability to work under pressure and to tight deadlines;
- Proactive, professional and flexible approach to work;
- Attention to detail.
- A 2nd language preferable e.g. French, Arabic, Spanish
