We have an excellent opportunity for a Head of Secretariat - Corporate to join the Secretariat function. This is a permanent role and can be based in Edinburgh or London.

Reporting to the Deputy Company Secretary, the Head of Secretariat - Corporate will be a senior member of the Secretariat function and be part of its senior management team. You will be Secretary to the abrdn plc Audit Committee and Disclosure Committee and will play a lead role in the team’s input to the development of sustainability governance and reporting.

About the Department

The abrdn Secretariat manages the corporate governance requirements for the abrdn group. This encompasses:
- Listing, reporting, compliance, disclosure and regulatory requirements that arise from abrdn plc being a UK listed company and having a number of regulated and/or trading entities.- Shareholder and share capital management (c1 million shareholders).- Governance advisory and board support to the abrdn plc board and regulated and/or trading entity boards operating in the UK, Europe, Middle East and Luxembourg.- Governance reporting, systems and technology (including Diligent Entities and Board Intelligence).

The team is focussed on providing best in class, effective and pragmatic advice and solutions to support the business meet is strategic objectives. We have a team of 20 people and provide a collaborative and inclusive environment, with first class development and opportunities across plc governance, registry and subsidiary governance.

About the Role

The role has significant Board and Executive exposure and owns and manages a number of critical plc governance and corporate reporting functions. You will be expected to bring your experience in these areas to support and develop best practice and be an active voice both within the function and within the business as a whole.

The role currently as no direct reports, but it is expected that this will develop over time and support will be provided by the Board support team.

In particular this role will include:
- Secretary to the Audit Committee- Secretary to the Disclosure Committee- Secretariat input into the annual Report and Accounts process- Listing, disclosure and inside information advisory- Share dealing/MAR processes, including group-wide training- Transaction support- Sustainability reporting, including being the Secretariat lead on the development of non-financial reporting

In addition, this role may involve the holder taking on positions as Company Secretary or Director of a number of subsidiary companies to support the role holder’s involvement in and alignment to the business.- Company secretarial experience in a listed company environment.- Strong knowledge of and demonstrable experience in managing listing, disclosure and transparency rule compliance, stock exchange rules and corporate reporting.- Shareholder services, registry and share capital management.- Exposure to the developments in sustainability reporting.- Strong collaborator and teammate.
