De la Rue is currently recruiting for a new Deputy Company Secretary to join our small and friendly Legal and Company Secretarial team. This role is responsible for all the traditional duties expected by a Deputy Company Secretary, but as the business continues to progress on its turnaround plans, it also offers a broad range of interesting activities and projects.

**What will I be doing?**

The Deputy Company Secretary will have significant autonomy and where necessary will work closely with the Company Secretary to deliver the following:

- Ensure compliance with the Companies Act, UK Corporate Governance Code, the Listing Rules, Disclosure Guidance and Transparency Rules and MAR and maintain the Company’s Securities Dealing Code.
- Ensure that the Board considers the recommendations in the UK Corporate Governance Code and that all agreed activities are undertaken promptly and properly. Oversee the Board-approved aspects of the internal Delegation of Authorities framework.
- Draft the ‘governance’ pages of the Annual Report and oversee the management of the Annual General Meeting.
- Working with the Company Secretary, provide the Board and its Committees in a timely manner with all relevant papers, including providing additional background information and support for the Non-executive directors. Act as Secretary to Board and management committees and produce timely and accurate Committee Minutes (where responsible for these) and ensure that decisions are advised to those who need to take action.
- Raise matters that require the Board’s attention and communicate to the Company Secretary any governance issues that affect the Group. Provide an annual ‘horizon scanning’ paper for the Board on actual/potential changes to relevant law and governance issues.
- Assist the Company Secretary in the induction of Board directors and looking after the needs of the Non-executive directors.
- Oversee the management of the company’s share register and the relationship with the registrar and ensure that all relevant housekeeping (deemed consent mailings etc) is kept up to date.
- Handle requests and queries from retail shareholders.
- Manage and administer the Group’s share schemes.
- Maintain the relevant pages of the Group’s website.
- Oversee the administration of and compliance filings (other than tax) for the Group’s subsidiaries, branches and representative offices globally. Support the directors and officers of those entities in performing their roles. Participate in the project to eliminate unnecessary group entities and reduce running costs.
- Act as Secretary to Board Committees and the Executive Leadership Team (ELT).
- Introduce and maintain processes and procedures to ensure the efficient running of the department.

**What qualifications, experience and skills are we looking for?**
- Chartered Secretary; ICSA associate level with significant PQE experience (ACG/FCG qualified) - previous experience at Deputy Company Secretary level in a premium listed company would be a distinct advantage
- Extensive experience in plc and listed environments
- Deep working knowledge of the UK Companies Act, UK Listing Rules and DTRs, MAR, and the UK Corporate Governance Code
- Experience in collaborating with a broad range of functional teams
- Accuracy and attention to detail
- Excellent verbal and written communication skills
- Self-motivated with ability to work independently and be a confident decision maker
- Outstanding project management skills and ability to manage multiple projects simultaneously
- High level of planning and organisation
- Outstanding influencing and relationship management skills
- High degree of personal and professional resilience, with clear ability to deal with changing priorities
