Our client is a successful and well-established Lincoln based business who requires a Corporate Governance Secretary to play a vital role in their long-term success. This position will be responsible for ensuring that a high standard of corporate governance is met at all times.

Corporate Governance Secretary Responsibilities:
Providing high quality company secretarial and corporate governance across the business.
Overseeing and reviewing the overall governance framework of the business
Ensuring the governance framework is fit for purpose and enables timely, efficient and effective decision making.
Ensuring that transactions and decisions respect the delegation framework within the business.
Supporting Director induction, training and development.
Coordinating arrangements for the annual appraisal of directors.
Coordinating and supporting all aspects of the process leading to the appointment of new directors.
Supporting the CEO and Chair in setting the agenda for Board meetings.
Ensuring the maintenance of statutory registers and submission of any necessary filings.
Drafting the governance related sections of the Annual Report.
Maintaining agendas, producing board packs and ensuring the timely distribution papers, minutes and action logs.
Supporting the Maintenance of a library of appropriate policies and procedures.
Attending Board, Board Committee, Annual General Meeting and Annual Member Meetings.
Ensuring that the Board receives accurate, timely and comprehensive management information.
Maintain appropriate records relating to conflicts of interest at a Board and Senior Management level within the business.
Developing the corporate governance knowledge management.
Reporting to the Board and CEO on corporate governance related developments and pro-actively managing the implementation of new requirements.
Create guidance and support training and communications for colleagues across the business in relation to corporate governance good practice.

Experience required for Corporate Governance Secretary:
Sound knowledge of corporate governance requirements and frameworks.
Able to communicate at all levels, including Board of Directors, Senior Leaders, external consultants, partners and contractors to work in a collaborative way.
High level written and verbal communication, and analysis skills.
Legal/ICSA qualification desirable.
Well-presented and emotionally intelligent.
Clear and concise communicator, demonstrated in both verbal and written communication.
Experience of working in a regulated environment.

**Job Types**: Full-time, Permanent

**Salary**: £50,000.00-£55,000.00 per year
