Jefferies is searching for a leveraged finance attorney with significant experience representing investment banking firms and direct lenders in financing transactions to join our proactive and business-oriented Legal and Compliance team. The ideal candidate must have the ability to work in a face-paced environment, has worked on both broadly syndicated and direct lending transactions and has a desire to assume additional compliance-related responsibilities associated with a lead compliance officer for a new FCA regulated investment manager. Prior compliance or regulatory related experience is preferred but not required.

This role will involve legal coverage of both broadly syndicated financing transactions across the Jefferies leveraged finance platform and direct lending investments across the Jefferies Credit Partners Europe credit investment platform. The role will have key responsibility for supporting investment professionals and leveraged finance teams during the life cycle of financing transactions, including without limitation (i) review and drafting of term sheets, commitment papers, facilities agreements and other applicable loan documentation, (ii) assist in the structuring and negotiation of financing transactions, including providing advice on collateral issues and complex financing structures, and (iii) reviewing amendments, waivers and loan modifications and other portfolio matters, including workouts and restructurings.

The role also involves acting as the Compliance Officer and Money Laundering Reporting Officer of Jefferies Credit Partners Europe, with the support of the Chief Compliance Officer of Jefferies Finance and the broader enterprise compliance team at Jefferies .The role will be responsible for coordinating the delivery of shared services compliance enterprise compliance functions, e.g., personal account dealing, gifts and entertainment, e-surveillance, anti-money laundering and sanctions, and conflicts of interest and the Compliance Officer will be the point of contact with the FCA.

Key Responsibilities & Tasks

  • Act as internal legal subject matter expert and transaction counsel for European broadly syndicated and private credit transactions. Advise leveraged finance and/or investment teams on the structuring and terms of term sheets, mandate letters, facilities agreements, and other definitive documentation as well as providing summaries of key terms, risks and deviations from precedent. Manage transaction execution, and review and negotiate full range of financing documentation.

  • Provide legal review for the portfolio teams on all portfolio requests for waivers and amendments. Attend and/or represent the portfolio team on structuring/negotiating calls involving deal team, deal counsel and other investors.

  • Manage outside counsel review of all investment documentation and oversee outside counsel with respect to investments generally.

  • Take a proactive approach to identifying and mitigating legal risk in transaction documentation

  • Serve as a resource for investment professionals key legal issues in the market

  • Manage the day-to-day regulatory compliance matters across Jefferies Credit Partners Europe’s investment management business responsible for: the compliance oversight function of the firm; overseeing the firm’s anti-money laundering systems and controls; reporting and escalation of compliance matters; annual review of the firm’s compliance manual; maintenance of compliance policies and procedures; and for the execution of all aspects of the firm’s comprehensive compliance framework.

Qualifications/ Experience

  • 5PQE+ with experience of working in a recognized International law firm or international financial institution.

  • Experience in the finance practice of an international law firm and/or legal department of an international financial institution.

  • Experience of UK governed law loan documentation customary for private equity sponsors, including confidentiality agreements, term sheets, mandate letters, inter-creditor agreements, guarantees and security documents. Acquisition and leveraged finance experience is required.

  • Experience advising fund managers and non-bank institutions as lenders or investors is preferred.

  • Prior compliance or regulatory experience is not required but is preferred. The ideal candidate would be willing to learn compliance role and function of a FCA-regulated investment manager.

  • Motivated team player with ability to work independently and potential to lead as necessary. Ability to take initiative to anticipate, identify and analyze issues, generate potential solutions and make decisions with little direction/supervision.
