The Starknet Foundation is a new organisation established to support the development of Starknet, a state-of-the-art layer 2 blockchain network built on top of Ethereum. Our mission is to unlock Ethereum’s scalability and efficiency, making decentralized applications more accessible and effective. We are seeking a skilled and experienced web3 lawyer to join our team, with expertise in regulatory governance. In this role, you will play a critical part in shaping the governance framework and regulatory strategy for the Starknet Foundation. As a mid-level lawyer with a background in web3 technologies, you will leverage your expertise to navigate complex legal and regulatory landscapes while ensuring our Foundation remains compliant and aligned with industry and good governance standards.

Responsibilities:

• Governance Framework Development: Collaborate with cross-functional teams, the Board of applicable entities and Senior management to design and implement robust governance mechanisms for the Foundation, and other affiliated entities.

• Processes & Procedure: Work with the Foundation’s GC to build sustainable procedures to ensure Board and Committee standards are streamlined, and that all decisions are tracked, maintained and where appropriate diarised.

• Regulatory Strategy: Stay abreast of evolving regulatory requirements and industry best practices related to token issuance and allocation, blockchain technology, cryptocurrencies, gaming and decentralized finance. Develop and maintain regulatory strategies to assist the Board in its adherence to relevant laws and regulations.

• Legal Advisory: Provide legal guidance and support to internal stakeholders on matters related to governance, regulation and risk management. Review and draft legal documents, including contracts, policies, and disclosures.

• Manage Counsel: Manage counsel budgets and engagements.

• Education and Training: Educate internal teams

• Communication & Presentation: Communicate effectively with internal and external stakeholders to ensure alignment on governance and regulatory matters. Present complex matters in easily digestible formats to senior management, and be prepared to iterate solutions.

Requirements:

• Bachelor degree in Law.

• Professional Legal Qualification (solicitor, attorney or barrister).

• Minimum of 7 years of PQE.

• Experience in technology, finance, and/or regulatory compliance.

• Strong understanding of blockchain technology, decentralized systems, and Web 3.0 concepts.

• Familiarity with relevant legal and regulatory frameworks: including US securities laws, VASP regimes, UK Financial Promotions, MICA, MiFID, anti-money laundering (AML) regulations, data protection laws and corporate governance obligations.

• Excellent analytical, problem-solving, and communication skills.

• Commitment to maintaining the highest standards of integrity, ethics, and professionalism.

• Confidence in delivering advice to senior management.
