Senior Trust Manager – Corporate Trust

Vice President 1 or 2 (depending on experience)

Reporting to: Head of Corporate Trusts

Client service delivery on a portfolio of Corporate Trusts in line with Apex risk and compliance policies and procedures adhering to all legal and regulatory requirements and Apex business expectations.

Provide excellent client relationship management and external networks to promote growth of the corporate trust book through new and repeat business.

Accountabilities and Key Responsibilities

Primary Responsibilities:

  1. Administering a client portfolio of corporate trusts including securitisations, structured financings, loan financings, debenture stocks, repacks and bare trusts.
  2. Dealing with ongoing covenant compliance, corporate events, amendments, releases and determination of discretion requests through review of associated documentation to ensure consistency with scope of appointment and Apex risk appetite.
  3. Considering proposals affecting the rights, protections and remedies of trust beneficiaries by interpretation and application of trust deeds and other transaction documentation, liaising with issuers and external legal counsel as appropriate.
  4. Onboarding of new clients, including completion of CDD requirements, internal risk processes, documentation review and negotiation to ensure compliance with Apex policies.
  5. Managing default and enforcement situations in line with Apex risk appetite and policy.
  6. Working with external legal counsel in negotiation of trust documentation in onboarding/amendment/termination and default and enforcement situations to ensure the correct commercial positions are taken to minimise risk to Apex.
  7. Administer all Apex internal risk, compliance and reporting requirements.
  8. Oversee invoicing of clients in the portfolio and maximization of revenue through additional fee capture.
  9. Be responsible for growth of the corporate trust book through exceptional client service delivery to promote client retention and repeat business.
  10. Bring an existing network of strong relationships with external law firms and other industry professionals to promote growth opportunities and raise the profile of Apex in the marketplace.
  11. Be able to work alongside the Business Development Team in evaluating and pricing new business opportunities in line with Apex risk appetite.
  12. Ensure the client portfolio maximises its profitability through efficient working practices, ensuring all clients are properly invoiced and aged debt is managed through effective interaction with clients and other transaction parties.

Additional Responsibilities:

  1. Ensure personal compliance with Apex Group’s periodic requirements re skills updates, risk awareness and compulsory training.
  2. Act in accordance with legal and regulatory requirements impacting Apex Group and the Corporate Trust team at all times.
  3. Be able to take on line manager responsibilities if required.
  4. Be able to deputise for the Head of Corporate Trusts in external and internal meetings if required.

Experience and Skills

  1. Extensive experience of reviewing securitisation and structured finance documentation.
  2. Excellent oral and written communication skills, and the proven ability to work effectively with all levels, both within Apex and externally.
  3. A demonstrable ability to understand, consider and discuss complex securitisation and structured finance transactions.
  4. The ability to work independently, and to work effectively as part of a team, both within transaction management and in a multi-disciplinary setting.
  5. Significant experience working for a corporate trust provider and/or significant experience working on the issuer side of securitisation transactions advantageous.
