About the role
Laser Digital is looking for a (Senior) Legal Counsel Ventures to lead and manage the legal matters of the Ventures business vertical. The candidate will be tasked to advise the Venture team in all legal and regulatory matters and further support Laser Digital's Legal & Compliance team in their broad range of activities.
Role Responsibilities
- Supporting the transaction process for our investments into start-ups by advising the Ventures team on all deal terms
- Reviewing, administering and negotiating the investment transaction documentation (investment agreements, shareholder agreements, articles of association and ancillary documentation etc)
- Assisting the Ventures team with follow-on investments in portfolio companies, management issues and commercial contracts as part of portfolio company maintenance
- Supporting the L&C team in various corporate law and financial market regulation topics
Skills, experience, qualifications and knowledge required
- A minimum of 5-6 years of experience in a law firm in M&A or Capital Markets acquired on Wall Street or City
- Significant transaction experience, preferably in early stage tech
- Solid understanding of various types of structures common in early stage investments, including SAFE, SAFT
- Ability to negotiate commercial terms for downside / upside (e.g.: warrants, liquidation preference etc)
- Understanding of various other terms required in tech - e.g.: IP protection, ESOP/EIP etc
- Preferably some knowledge of major regulatory trends in crypto include type of tokens, regulation implications, etc.
- Understanding of UK and US transaction law
- Experience in corporate law and financial market regulations
