Position Overview

Reporting to the Group General Counsel, the Senior Legal Counsel, Europe position is responsible for:


  • the delivery of high quality, timely and cost-effective plain English legal advice to the business;
  • engagement and day to day management of external law firms;
  • contract drafting and negotiation (from NDAs through to complex commercial agreements); and providing pragmatic commercial legal advice to facilitate the achievement of business objectives within the confines of the law


Qualifications and Training

  • Relevant tertiary qualifications in Law with a current practising certificate and up to date knowledge of EU insurance law is essential
  • Exceptional plain English contract and advice drafting skills
  • Background in insurance and/or travel assistance industries
  • Insurance claims experience not required or sought
  • Strategic and conceptual thinking supported by analytical and problem-solving skills
  • Proven record of achievement within a complex business environment with an ability to initiate and manage change



Key Duties & Responsibilities:

To be successful in this role you will need to be able to:


Legal Services Purposes and Duties

  • Responsible for the delivery of high quality, timely and cost-effective legal services to meet the business’ strategic and operational needs Coordinates the delivery of legal services to the businesses in the UK and Europe using external resources and WTP in Europe
  • Building collaborative and productive working relationships across the organisation and with key external stakeholders
  • Providing ‘solutions orientated’ commercial advices to the business
  • Ensures the legal function provides high quality plain English legal advice that can be practically and commercially applied by the business
  • Maintains the process for centralised oversight of legal risks and activities in the UK and Europe
  • Drafts and negotiates all client and supplier contracts for the business units in the UK and Europe
  • Manages litigation matters for business units in the UK and Europe
  • Coordinates the legal and governance integration of the new Irish business into the wider group
  • Ensuring corporate governance obligations are met
  • Maintains the corporate governance frameworks in the business units in the UK and Europe
  • Advises the business units on UK, EEA and non-EEA state regulations governing the sale and distribution of general insurance products.
  • In conjunction with Head of Risk and Compliance, Europe, act as the key regulatory liaison in the UK and Ireland
  • Manage responses to regulatory queries (which are rare)
  • Draft and negotiate client and external service provider contracts, deeds and term sheets


Corporate Governance Purpose and Duties

  • Oversee the Company Secretariat services for the UK and Ireland
  • Appoint and manage external corporate secretarial providers (if necessary)
  • Ensuring that the UK and Irish companies within the group comply with their statutory obligations
  • Maintaining registers and ensuring requisite retention of corporate documents and records
  • Ensuring completion and lodgement of statutory forms/returns
  • Document preparation and distribution for UK and Ireland Board meetings


Leadership

  • As a member of the Europe Leadership Team participate actively in leadership meetings and other relevant forums, contributing to the development and implementation of company-wide strategies and policies.
  • Foster strong working relationships with senior management and other key stakeholders, facilitating effective cross-functional collaboration
