Company Secretary and Governance – Logistics - Europe

About the Role

DP World are recruiting a Company Secretary to join our European Legal Team, reporting to our VP General Counsel – Europe this is a new role which will have full accountability for Company Secretary duties whilst supporting our complex Logistics division across Europe.

NOTE: This is a hybrid opportunity based out of Regional Head Office in Victoria, London. There is a requirement to undertake occasional business travel as required, specifically in the European region.

How you will contribute

The role has two key areas of accountability:

Acting as Company Secretary for key logistics entities within DP World Europe including:

  • Organising, coordinating, and attending board meetings.
  • Working closely with local points of contact to ensure that Company Secretariat aspects are being handled according to DP World's policies and procedures especially the corporate governance handbook.
  • Creating a regional Board agenda to maintain a level of visibility overboard meetings.
  • Assisting with the preparation of board materials and management packs and presentations for board meetings.
  • Taking board minutes and following up internally with respect to actions agreed at board meetings.
  • Preparing and drafting corporate governance documentation, corporate resolutions, constitutional documents, and corporate secretarial correspondence.
  • Acting as the "first port of call" on legal queries in board meetings.
  • Ensuring filings are made with appropriate public bodies.
  • Acting as a point of contact for authorities, ministries, government departments, embassies, and other official bodies.

Point of coordination for Company Secretarial matters for companies within the European logistics structure including:

  • Standardising processes and board packs/reporting.
  • Supervising the company secretarial activities of local company secretaries (where internal DP World personnel).
  • Share required outsource company secretarial functions to third party providers and oversee their work.
  • Providing support in maintaining and keeping under review the department's operating procedures in relation to company secretarial matters.
  • Coordinate changes in board directors including nomination processes and completion of appropriate formalities.
  • Alongside legal colleagues, assist with the coordination and documentation of company mergers, share issuances, liquidations and other key corporate actions.
  • Effective support on corporate governance and corporate secretarial matters and requirements, taking initiative in identifying and resolving problems and issues.
  • Liaise (where required) with Corporate Governance Officers to manage and maintain the corporate records of entities managed by the department in the Global Entity Management System.
  • Assist with the formation of new companies and effecting changes to the particulars of existing Group companies, and liaise with other departments, government departments, authorities, regulatory bodies and notaries, and make the necessary filings and submissions in this regard.

What you will bring

  • Bachelor's degree or equivalent level preferred in relevant areas of study (e.g. Business Administration, Corporate Governance, Law).
  • Minimum of 7 years' experience in a company secretariat department, law firm or legal department in a multinational organisation.
  • Membership of the Institute of Chartered Governance Institute UK & Ireland or national equivalent is desirable.
  • Proficient computer skills, including Microsoft products and familiarity with a variety of Company Secretariat software, and corporate data management systems.
  • Strong communication and interpersonal skills and an ability to work with sensitive and confidential information are a requirement of this role.
  • Commitment to producing quality work with a high degree of attention to detail.
  • Well-developed planning and organising skills and the ability to perform well under pressure.
