A leading family office which invests in a variety of industries globally is looking for a lawyer to advise on corporate law and corporate governance.


The Role


The Corporate and Corporate Governance Counsel will be the principal advisor to Management and the Board of Directors on UK corporate law and governance matters.

You will play a key role in advising on governance structures, regulatory compliance, and corporate advisory matters. You will work closely with senior stakeholders, ensuring the business meets its legal and regulatory obligations while supporting strategic decision-making.


Key Responsibilities


  • Advise on corporate governance frameworks, regulatory compliance, and best practices.
  • Support the board and senior leadership on governance-related matters, including company secretarial duties, policies, and procedures.
  • Assist with corporate transactions, including restructurings, M&A, and shareholder matters.
  • Draft, review, and negotiate governance-related documentation, including board resolutions, policies, and corporate disclosures.
  • Ensure compliance with relevant regulations (e.g., UK Corporate Governance Code, Companies Act, FCA regulations).
  • Liaise with external counsel, regulators, and corporate stakeholders as needed.


About You


  • Qualified solicitor (England & Wales or equivalent) with 4+ years of post-qualification experience.*
  • Strong corporate governance expertise, ideally within a regulated industry.
  • Experience advising boards and senior leadership on governance and corporate matters.
  • Knowledge of relevant corporate law, regulatory frameworks, and compliance requirements.
  • Excellent stakeholder management and communication skills, with a business-minded approach.


*Candidates outside this PQE bracket with relevant experience would be considered for the role
