Purpose of Role:

The Group Legal Counsel is responsible for assisting the General Counsel – Corporate to identify and advise on legal risks and issues on a global basis.

The Group Legal Counsel shall provide general commercial, legal and risk advisory support to all Group Functions and Sub-Functions, including HR, SHE, Finance, Taxation, Treasury, Internal Audit, Risk, IS&T, Strategy & Sustainability and Corporate Development.

The Group Legal Counsel shall also provide support to the Group’s Chief Technology Counsel and to other business units within the Group from time to time.

Key Responsibilities:

Contracts: maintenance, review, drafting and negotiation of supply contracts (in particular, technology, digital, and IT contracts) and, as required, customer contracts in accordance with the Group’s General Commercial Manual. Support Corporate Development with any transactional / M&A related work: drafting/reviewing NDA’s, heads of terms, transactional documents, due diligence etc.; liaison with internal business stakeholders and external advisors in relation to the foregoing. Support Group Finance and Group Treasury, including on re-financing and re-structuring transactions, as required.

Job Knowledge/Education and Qualifications:

Qualified lawyer of 2+ PQE. Consideration will be given to a range of experience levels. Experience working in an in-house legal team or with a commercial law firm. Experience with IT, software, digital contracts would be an advantage. Corporate experience preferred.
