Job Description

Job purpose

To support the Company Secretariat team in providing a high quality, efficient company secretarial and governance service to the Evelyn Partners Group.

Key Responsibilities

To act as secretary of certain Group committees To assist with all board and committee meeting preparation To assist the Deputy Company Secretary with maintaining records required pursuant to the FCA and PRA’s senior managers’ regime To provide technical input as required by the Group Company Secretary and the Deputy Company Secretary to ensure that boards and committees are striving for best practice To assist the Deputy Company Secretary to ensure the effective execution of company general meetings and LLP members’ meetings To support the Group Company Secretary and the Deputy Company Secretary in ensuring the Group is fully compliant with all regulatory, legislative and governance requirements To monitor the effectiveness of delegated authorities and authorised signatories To provide cover for the company secretarial assistants in relation to the Blueprint records management database To maintain the Group’s close links and overseas regulators records To deal professionally end effectively with internal and external contacts including main board members and other senior individuals Assisting with share plan registration, HMRC/Companies House filings and completion of share plan ERS annual returns. Assisting with preparation of share valuations for the purposes of employee share schemes Provide support on various share plan administration and operational actions, including relating to share options exercises, leavers and share sales To assist as necessary with ad hoc projects.

Qualifications

Key Skills and Experience

Knowledge of relevant legal and regulatory requirements, particularly the Companies Act 2006 and relevant corporate governance standards Ability to work well under pressure managing conflicting priorities and working to deadlines Excellent time management and flexible approach to working Outstanding analytical and numerical ability Proficient Microsoft Office skills Outlook, Word, Excel, Teams, PowerPoint, Skype, Visio Excellent knowledge of Diligent Bords and Entities, or similar packages Ability to work effectively as part of a team Planning & organising skills including managing priorities to deadlines Excellent verbal and written communication skills Experience of working in a UK listed company desirable.


Professional Qualifications and Education

ACG qualified Demonstrable experience of company secretarial work gained predominantly in a professional services or financial services environment.
