Aptia has a unique opportunity to join our small, in-house Legal department as a Senior Commercial Lawyer.

We are seeking to appoint two individuals to support the UK commercial business with exciting growth in its client portfolio, as well as with considerable growth and transformation activity.

The Team:

In this role, you will report to the UK Head of Legal currently supported by a mid-level commercial lawyer as well as two lawyers based in Mumbai. The Aptia UK Commercial Legal Team is part of the Aptia UK Legal, Risk & Compliance Team, which also includes the litigation department.

Working as part of a small team, you will have an opportunity to contribute significantly to Aptia's ambitious growth and transformation plans, which are at the heart of its business strategy, and to work in a dynamic environment.

This role will initially be a 12-month fixed-term contract with potential opportunity to extend.

What you'll be doing:

This is a demanding, drafting-heavy role which requires someone who can work independently and be confident in the following areas of responsibility:

  • Drafting client agreements for core pensions administration services and projects associated with pension schemes, based off existing templates which (in many cases) require critical review;

  • Extensively supporting Aptia client teams to draft Schedules to their client agreements to cover service descriptions, service levels, dependencies and performance regimes and charges for long term service contracts;

  • Advising clients on appropriate liability limits in different service delivery scenarios;

  • Drafting and negotiating limits of liability with Aptia clients and their external lawyers;

  • Investigating data flows between Aptia and third-party service providers in the pensions space (actuaries, administrators, consultants, accountants and the like) and determining applicable action to take in terms of GDPR compliance;

  • Drafting and negotiating data processing agreements;

  • Handling contractual data protection queries for clients (in conjunction with the Data Protection Officer and the Chief Information Security Officer);

  • Managing risks with third parties in terms of reliance on Aptia Scheme member data; ,

  • Negotiating and drafting client agreements prepared by clients / their external lawyers;

  • Liaising with the People team on TUPE transfers into and out of the business.

To thrive in this role, you would need to be willing to read into the world of pensions and pension transactions and get up to speed quickly on the following topics:

  • Difference between DB and DC schemes and how they operate from the point of view of the Trustees and the sponsoring employer

  • GMP equalisation

  • De-risking

  • Dashboards

What we're looking for:

  • Experienced UK qualified lawyer (minimum 10 years' PQE) with previous in-house experience in a large organisation, ideally within the financial or professional services sector;

  • Ability to draft and negotiate client contracts and provide extensive hands-on commercial support to the UK business in getting new deals done and renewing existing contracts;

  • Experience of negotiating liability limits on behalf of suppliers and advising clients on outsourcing market practice with respect to liability;

  • Ability to get to grips with complex transactions in the pensions sector and the role of the different advisers involved in them;

  • Ability to recognise GDPR issues (and then to work with experts on them);

  • Ability to prioritise competing demands by reference to deal value and significance for the organisation;

  • Sound commercial skills to identify the best commercial outcome for the organisation; and

  • Confidence and diplomacy to handle challenging conversations within and outside the organisation;

  • Proficiency to work effectively under pressure and high levels of demand for legal support;

  • Will embrace the opportunity to work collaboratively with and coach our Commercial Legal Team in India.
