The Legal and Licensing Manager will work across two connected functions.


  • They assist the legal team in the provision of general legal services and they are also responsible for managing the sales licensing team.


  • The core responsibilities of the legal function include support in the handling, negotiation and drafting of contracts of all kinds and helping to manage legal compliance and advice.


The Legal and Licensing Manager will work across a range of legal areas, both in the UK and internationally.


The role assists the legal team in advising the company on a full range of legal areas to ensure regulatory and legislative compliance.


The core responsibilities of the sales licensing function include ensuring that sales licences and related agreements are drafted correctly in the first instance, that any changes, approvals and signings are made fully in accordance with company processes and procedures and that they are utilising company systems correctly.


You will also liaise with customers and members of the global sales team where appropriate, including provision of training on licensing issues and being the first port of contact in the legal team on any licensing issues.


You will work closely with others in the business including Sales Operations, Finance, Marketing, Publishing and Technology where relevant to sales licences and will manage requests from sales customers, including those regarding uses such as text and data mining.


Main responsibilities


Drafting and amending variety of general commercial contracts, such as agency agreements, sales licences and transformative agreements


Processing contracts through the contract management system, ensuring that appropriate approvals are obtained and that contracts are signed in accordance with the Scheme of Delegation.


Assisting with drafting and updating precedents and pro forma documents, including sales licences and transformative agreements.


Accurate and clear drafting provided in a timely fashion


Adherence to company processes and procedures regarding the formalisation of contracts


Clear and comprehensive drafting and pro active suggestions for any changes and updates.


Assisting in the drafting and amending of forms, policies and accompanying documentation relating to licensing and other legal issues


Receiving and responding to queries received directly from the business- for example, advising on data protection, copyright (including permissions and licensing) and privacy issues.


Responding to internal legal questions and issues raised via the legal and GDPR email addresses and providing appropriate advice and guidance.


Where requested by the sales licensing team, responding to questions and issues raised by internal and external people on sales licences and related agreements and providing appropriate advice and guidance.


On instruction of colleagues, seeking specialist legal advice from external legal specialists.


Knowledge & Experience required


Qualified lawyer or legal executive/paralegal, ideally with in-house legal experience, such that the job holder can deal with diverse legal issues in a professional manner and provide advice (which is both commercially focussed as well as legally accurate) to diverse parts of the business.


2+ years practical experience essential in a legal environment focused on commercial and contract law as a minimum.


Good knowledge of, and experience in, commercial and contract law and their application in practice, particularly in terms of application to sales licensing and wider business projects.
