Qualifications:

Support our multinational corporate client on the following:

Corporate Governance

  • Provide advice on all aspects of corporate governance, including board composition, roles, and responsibilities.
  • Ensure compliance with UK corporate governance codes and regulations.
  • Draft, review, and update governance policies, procedures, and charters.
  • Support the preparation and review of board and committee materials, including minutes and resolutions.
  • Advise on shareholder relations and engagement, ensuring adherence to best practices and legal requirements.

Entity Management

  • Manage the legal aspects of entity formations, dissolutions, mergers, and acquisitions.
  • Maintain and update corporate records for all entities, ensuring compliance with statutory requirements.
  • Coordinate annual filings, regulatory submissions, and other compliance activities for entities.
  • Draft and negotiate inter-company agreements and other legal documents related to entity management.
  • Conduct due diligence for new entities and manage legal integration for acquired entities.

Legal Compliance and Risk Management:

  • Identify and mitigate legal risks associated with corporate governance and entity management.
  • Conduct internal audits to ensure adherence to governance and entity management policies.

Stakeholder Engagement

  • Collaborate with senior management, board members, and other stakeholders to align governance and entity management strategies with business objectives.
  • Prepare and present reports to the board and senior leadership on governance and entity management matters.
