The Capital Markets practice operates as a single integrated team working on a broad range of international transactions (including SEC-registered and Rule 144A offerings).

To be successful in this role:

You will be a UK qualified solicitor, holding or eligible for a valid Solicitors’ Practicing Certificate along with 1-3 years’ post-qualification experience with a top tier capital markets law practice. You will ideally have had some experience in providing advice to clients in both equity and debt transactions, including listings on the London Stock Exchange.


Other requirements for this role include:

  • Excellent drafting, communication, and negotiation skills
  • Strong academic background, demonstrating intellectual rigor and analytical ability
  • Ambitious and motivated individual with a proactive approach to work
  • A team player who can also work independently and manage multiple tasks effectively
  • Familiarity with SEC-registered and Rule 144A offerings is desirable


Job role and responsibilities:

As a UK Capital Markets Associate you will provide legal advice and analysis to clients on various capital markets matters, including regulatory compliance, disclosure requirements, and corporate governance matters. You will also assist in all stages of equity and debt transactions, including IPOs, secondary offerings, private placements, and debt issuances.


Other responsibilities for this role include:

  • Conduct due diligence, draft transactional documents, and liaise with clients and external parties
  • Build and maintain strong relationships with clients by understanding their business objectives and providing strategic legal advice tailored to their needs
  • Work on international transactions with both UK and US elements, collaborating closely with colleagues from different jurisdictions to ensure seamless execution and compliance with relevant regulations
  • Prepare and review legal documentation, including prospectuses, offering memorandum, underwriting agreements, and ancillary agreement
  • Engage in negotiations with counterparties to achieve favourable terms for clients
  • Work collaboratively within a diverse team of lawyers and professionals, contributing to a positive and inclusive work environment
  • Mentor junior team members, sharing knowledge and best practices
  • Stay abreast of developments in capital markets regulations and industry trends, conducting legal research and analysis as needed to support client matters and business development efforts
