Our customer, a SaaS company is looking for a Commercial Lawyer for a 9-12 months contract role.


The primary function of the Commercial Counsel is to negotiate commercial customer contracts, including revenue-generating and data privacy agreements with customers in the UK, EMEA, and other global regions (e.g., APAC as needed).


This role is a great opportunity for a privacy-focused commercial negotiator looking to significantly contribute to the expansion of a key market. The position will be based in the UK, and will work closely with other members of the global Legal team.


This is a secondment role for a period of up to 12 months to cover maternity leave. The start date is mid-October, with the possibility of an earlier date for onboarding. This is a remote role with opportunities to attend events at the company location for larger gatherings. The role will report directly to the VP, Legal.


Key Responsibilities:

  • Negotiate revenue-generating and data privacy agreements with customers in the UK, EMEA, and other global regions (e.g., APAC as needed).
  • Collaborate with cross-functional teams to address customer questions on privacy and security matters.
  • Provide legal advice on various commercial contracts, privacy compliance, data processing agreements, vendor contracts, and other projects as needed, focusing on the UK and EMEA.
  • Advise on the business impact of changes to local laws and regulations within the UK and EMEA, particularly concerning data privacy, AI, and digital regulations.
  • Create and refine templates, policies, and processes to enable the Legal team to scale as the business expands.
  • Assist in designing and implementing corporate compliance programs, Go-to-Market training, commercial contract procedures, and support the development of appropriate internal controls.
  • Develop a close working relationship with the company’s UK and EMEA leadership and global business partners in Revenue, Product, Solutions, Finance, Security, and other departments to ensure strong alignment with the Legal team.
  • Assist with other strategic projects as needed to support the success of the Legal team.


Qualifications:

  • 5-7 years of substantive commercial and tech transactions experience with a focus on SaaS software.
  • Expertise in drafting and negotiating a variety of commercial and tech transactions typical to the SaaS technology sectors, such as Subscription Agreements, Services Agreements, Data Processing Agreements, and technology partnership agreements, ideally both for direct sales and channel sales.
  • Significant experience with privacy and data protection laws, regulations, and standards, preferably in the technology context, including UK data protection laws, GDPR, and the ePrivacy Directive. CIPP/EU certification or other similar data privacy certifications are a plus.
  • Familiarity with evolving AI regulations in the UK and EU is a plus.
  • Ability to provide clear, concise, and actionable guidance on complicated legal questions to non-attorney stakeholders.
  • Impressive written, verbal, and interpersonal communication skills in English are required. German or French language skills are a plus.
  • License to practice law in-house in the UK or one or more EMEA jurisdictions.
  • Strong track record of performance in demanding, high-growth environments.
  • Strong organizational, project management, and execution skills with a collaborative and flexible approach when partnering with others.
  • High energy level and positive demeanor when communicating with busy internal clients, teammates, and partners outside the team.
