Job Description Summary

Reporting to the Deputy Company Secretary, the Company Secretarial Assistant will support the Group Company Secretary and the Deputy Company Secretary in the day-to-day running of the Secretariat, including:
**Job Description**:
Reporting to the Deputy Company Secretary, the Company Secretarial Assistant will support the Group Company Secretary and the Deputy Company Secretary in the day-to-day running of the Secretariat, including:

- Maintaining and monitoring the Company Secretarial annual calendar and ensuring deadlines are met
- Drafting corporate documents for subsidiary companies including board minutes, director/secretary resignation letters and shareholders’ resolutions.Liaising with global corporate administrators and other Elementis businesses and functions
- Responsible for canvassing availability and drafting calendar invites for Board, Committee and Leadership team meetings, and assisting with site visit planning
- Assist with collating and circulating papers in preparation of each meeting via Board Intelligence
- AGM process support
- Managing the clearance to deal process and compliance with the share dealing code
- Assisting with share scheme administration
- Prepare and file all UK statutory forms with Companies House, via Diligent, including confirmation statements, changes in officers and share allotments
- Support the Finance team in reviewing subsidiary financial statements, arranging signature, preparing associated documentation and filing with Companies House
- Maintaining directors’ interests register, external appointments register and conflicts register
- Liaising with Notary Public for any notarisation/apostille requirements
- Working with the Communications team in ensuring the governance section of the Company’s website is kept up-to-date
- Processing invoices for the department

Elementis operates a flexible working policy and it is envisaged that after the initial induction period the role would enable three days per week working from home (if desired).

Additional Job Description

Education: CGI/ ICSA qualification is desirable

Experience and key skills:

- Some experience in a UK listed Company Secretariat team is essential
- Working knowledge of Board Intelligence and Diligent desirable
- Strong administrative and organisational skills
- Ability to build good relationships with senior internal and external stakeholders
