**The Company**

**The Role**

You will report directly to the Group General Counsel and have regular interaction with senior decision makers within the organisation. PIB's Junior Legal Counsel will report to you. It will be a very hands-on role, based at PIB's head office in the City of London with flexible working, covering the following:

- M&A - assisting with due diligence, SPA negotiation, and deal management.
- Commercial - drafting and agreeing commercial contracts, NDAs, engagement letters and insurer agreements.
- Finance - supporting PIB's external law firms on security take ups and documenting intra-group lending.
- IP
- liaising with PIB's IP lawyers to manage PIB's trademark assets.
- Litigation - liaising with external counsel as and when required on contentious matters.
- Company Secretarial - overseeing the management of PIB's company secretarial system and working alongside PIB's offshore company administrators to oversee all equity movements, governance changes and company secretarial filings throughout the Group. Attending and taking minutes at PIB board and risk committee meetings.
- Integration - supporting the Group's project teams to integrate newly acquired companies post acquisition.
- MI - providing quarterly MI reporting to PIB's institutional investors.
- KYC - assisting with KYC requests from the Group's financial counterparties (such as banks).

**Necessary skills**
- 2-3 years PQE with experience in M&A and commercial law - this is a role for someone who is 'great across the board' and can deal with a wide variety of differing legal issues on a daily basis.
- Strong commercial awareness, highly organised with a resilient 'can do' nature. The ability to laugh is absolutely essential.
- Excellent project management skills are essential as the role will involve a lot of domestic and cross-border M&A.
