About The Role
Reporting to the Company Secretary you will provide wide ranging support on company secretarial and corporate governance matters, ensuring the Society’s Board and its subsidiary companies are effectively managed and that all associated corporate reporting anddisclosures are managed appropriately and in line with applicable legal requirements. You will also assist in implementing the governance and reporting aspects of the Society’s broader sustainability/ESG strategy.
The role requires working with a range of stakeholders across the Society, including the Finance, Treasury, Legal and HR Functions. You will engage extensively with personnel at different levels of seniority, including Executive and Non-Executive Directors,Executives and Enterprise Leaders as required to successfully discharge these requirements. You will also engage with key suppliers of the Society as required, external auditors and external legal counsel.
You’ll provide legal guidance and support to the business on all elements of company secretarial, corporate governance and corporate reporting matters. Specific duties will include:

- Support Board and Society governance processes to ensure the Society remains compliant with legal requirements and external benchmarks.
- Draft and review Board and Board Committee policies and papers, the Schedule of Matters Reserved, Committee terms of reference, Board minutes and other similar documentation.
- Engage with internal stakeholders to formulate and implement plans for the Society’s AGM and preparation of the Annual Report and Accounts.
- Assist with corporate governance aspects of the Society’s Annual Report & Accounts and AGM, including review and approval of AGM communications.
- Provide secretarial support to meetings of the Society’s subsidiary boards.
- Oversee the statutory compliance of the Society’s Board and subsidiary entities and ensuring that statutory filings are accurate and submitted on a timely basis.
- Manage the onboarding process for new directors, including oversight of induction plans and handover arrangements.
- Develop and provide supervisory support to junior members of the team.
- Oversee legal processes to cover compliance with the Senior Managers Regime in conjunction with the Compliance and HR Functions.
- Advise on issues relating to Market Abuse Regulation, in particular, inside information and oversee legal processes put in place to cover compliance with the Market Abuse Regulation
- Keep up to date with broader external trends relating to corporate governance and assess what impact they should have on the Society.

About You
You will be developing professional skills, knowledge and experience in your specialist area but also have good broad legal knowledge. Ideally you’ll have financial services experience and/or experience of working in a regulated environment.
You have the skills to advise colleagues in a commercially practical and common-sense manner. You have a strong alignment to the Society’s values and can evidence this in the way you manage and prioritise the activities for which you have responsibility.
You’ll be a highly organised person with proven communication skills, who can inspire confidence from senior stakeholders and manage stakeholder expectations. You’ll work cohesively as part of a team and will work closely with other teams within the organisation,as well Board members and senior stakeholders.
You will have strong drafting, research, negotiation, analytical and influencing skills, the ability to work effectively as part of the wider team is essential.
You should also be proficient in Microsoft Word, Outlook, Excel and Zoom as well as Diligent Boards.
