Overview:
We are seeking a highly experienced and qualified Company Secretary to join our team. Reporting to the General Counsel for UK & EMEA, you will play a crucial role in supporting the UK Board and executive team and ensuring effective governance and compliance across our group in the UK and EMEA. You will also provide Company Secretarial support to our UK and EMEA companies and assist the Chair(s), non-executives, and executive directors in discharging their duties.
**Responsibilities**:
- Provide effective company secretarial support or oversight, as appropriate, for all companies within our UK and EMEA business.
- Manage our Company Secretarial team.
- Assist the Chair in managing the Board dynamic involving executives and independent non-executive directors.
- Manage and administer meetings of the Board, its committees, Gallagher's UK regulated entity boards, and relevant management committees.
- Act as a key member of our UK Governance Forum.
- Direct and coordinate the timely production and circulation of meeting agendas, papers and minutes.
- Ensuring effective papers are put before boards and committees, taking a lead on providing feedback on content, eliminating duplication and providing training and guidance as appropriate.
- Ensure compliance with (and annual review and update of) board and committee procedures and terms of reference.
- Ensure meeting actions are logged and followed through to completion.
- Provide independent advice to our UK directors on corporate governance matters.
- Take responsibility for on-boarding and training new board and committee members.
- Ensure a good information flow between the boards and board committees and between senior management and non-executive directors.
- Continually assess our UK governance structure and make appropriate recommendations for enhancements/improvements.
- Implement and maintain governance processes that support corporate strategy and ensure compliance with relevant legal and regulatory requirements.
- Interact with and maintain regular contact with stakeholders in our corporate team, providing support and insights as required for global entity management or reporting initiatives.
- Manage and keep up to date and accurate corporate and statutory records, ensuring that filings are made in a timely and accurate fashion.
- Take responsibility for the production of SMCR Management Responsibilities Maps.
- Assist the Group in overseeing its subsidiaries across the EMEA region.
Qualifications:
- Chartered Secretary / member of the Chartered Governance Institute with a minimum of 10 years' company secretarial experience.
- Proven ability to manage company secretarial support for a complex group.
- Proficiency in MS Outlook, Word, and Excel.
- Experience using specialist company secretarial services (e.g.: Blueprint (Diligent), One World & Nasdaq boardvantage)
- Basic knowledge of general insurance products and services, with an understanding of legal principles in the insurance broking sector - highly desirable
- Significant experience in regulated financial services, with a strong understanding of the FCA regulatory regime.
- Ability to effectively support and advise independent our Chair and Non-Executive Directors.
- Experience in building or developing a full governance structure.

- Strong prioritization and time management skills.
- Ability to build trusting relationships with stakeholders.
