**Job Title: Head of Legal**

**Job Purpose**

**Responsibilities**
- Be an active business partner to the role stakeholders - the business management in each group business and functional teams, especially sales, procurement, Treasury and IT; continually working to help your stakeholders find solutions to take advantage of opportunities to support growth, increase efficiency and reduce costs.
- Advise the businesses on all legal matters including M&A, corporate, property, sales and purchasing commercial contracts, IP, IT, construction, data security and governance, regulatory including international trade controls, litigation, privacy and competition.
- Structure and negotiate complex transactions and oversee outside counsel within budgetary constraints.
- Manage and develop the legal team and drive good working relationships within the businesses, in particular the procurement, businesses contract management/tender teams as well as with the Group functions.
- Provide advice to operational teams on appropriate strategies in relation to disputes that have not yet been formalised.
- Lead and support the development and delivery of toolkits and legal awareness training on various issues for colleagues across the Group businesses on the policies and processes introduced as part of the Governance Framework.

**Qualifications, Experience & Skills**

**Minimum Qualifications, Knowledge and Experience**:

- Must be UK (or common law equivalent) qualified solicitor or barrister with extensive post qualification experience including in-house experience.
- Ability to work under pressure, meet deadlines, and work independently or in a team environment as required, managing numerous and changing priorities effectively and efficiently.
- Advanced or expert level of knowledge and experience of relevant areas of law including M&A, corporate, property, sales and purchasing commercial contracts, IP, IT, construction, data security and governance, regulatory including international trade controls, anti-bribery and anti-criminal practices, litigation, privacy and competition.
- Experience of standardisation, process and business improvement.
- Strong structuring, drafting and negotiating skills.
- Ability to manage a sizeable workload in a fast paced environment.
- Ability to convey complex legal information in an understandable format
- Experienced at managing a team of professionals and providing support and leadership as required.
- Experience in leading and finding risk based solutions to ensure the businesses can undertake complex transactions efficiently.

**Organisation structure**

1. The Head of Legal role is functionally responsible for all legal matters Group wide and will support all Group Functions (Treasury, Tax, Finance, Internal Audit, Group IS and Secretariat). The sales and purchasing contract risk teams in the Group businesses will be led by the Group Contracts Risk Manager (GCRM) role which reports into the Head of Legal. The Head of Legal will also manage three legal team members (Deputy Counsel, Legal Counsel and a Solicitor Apprentice). The Head of Legal reports directly into the Executive Director & Company Secretary.

2. The GCRM role will functionally drive the implementation of key processes as regards sales and purchasing contract risk and compliance in all Group businesses, which will be managed locally by the Lucy Electric Contract Risk & Legal Managers (CR&LMs). The LE CR&LMs report directly into their local general manager and functionally into the LCRM. The GCRM will provide ancillary support on tenders or purchasing contracts when requested by the CR&LMs as well as providing legal and commercial contracts advice directly to the smaller business units (Lawson, Zodion, LRE and Flashnet).

3. The CR&LMs are responsible for commercial sales and purchasing contracts advice and ancillary legal support. They will also ensure the local business leaders receive appropriate compliance guidance and information to assure adherence to the Group Governance Framework. Where legal matters are to be managed by Group Legal (eg a JV agreement), they

will refer the matter to Group Legal. Compliance issues are escalated through the Group Functions to ensure Board oversight is preserved. The CR&LMs will work with Group Legal, Group Insurance, Internal Audit, Group Secretariat and Group Finance & Treasury in accordance with the Group Governance Framework.
