The Foundation Trust Office provides corporate governance, regulatory and company secretariat support to the Trust and its commercial entities. The Office sits within the Corporate Executive Function and is led by the Director of Corporate Affairs. The Corporate Governance team ensure the smooth running of the Foundation Trust Office and the delivery of sound corporate governance of the Trust.

We are looking to recruit a lively, energetic and experienced secretariat professional with strong minute taking and committee management skills. As one of two Corporate Governance Officers, you will take responsibility for a dedicated set of Board sub-committees whilst supporting the wider team service delivery by taking on specific projects each year for instance running Trust elections or production of the Trust’s Annual Report & Accounts.

Compliance
- You will have a significant role in the production of the Trust’s Annual Report in accordance with NHS Improvement guidance, advising internal authors on content, drafting relevant sections yourself, ensuring all statutory requirements are fulfilled and, finally, ensuring that documents are submitted to Monitor and laid before Parliament in accordance with statute.
- Assist in the production and submission of the statutory annual returns, including the Annual Accounts and Annual Report, and quarterly returns to NHS Improvement, the Independent Regulator, in accordance with their compliance requirements.
- Ensure that the election of governors is carried out in accordance with the Trust’s constitution.
- Advise Directors and Governors on declarations of interest and maintain the appropriate registers.
- Assist with arrangements for the election of public and staff governors in accordance with the election rules contained within the Trust’s constitution.
- Ensure that Governors’ declarations of eligibility to vote at meetings are kept up to date.
- Maintain agreements with partnership organisations with regard to their nominated representatives on the Board of Governors.
- Ensure disclosures are updated regularly on the Trust’s website in accordance with the Code of Governance.

Governance
- Keep under review all corporate governance developments and guidance which might affect the Trust to ensure that the Boards of Directors and Council Governors are fully briefed on these matters and have regard to them when taking decisions.
- Support the development of the Foundation Trust Office, maintaining processes and systems to ensure effective corporate governance arrangements and the Trust’s corporate services function.
- Ensure that committees of the Board of Directors and Council of Governors are properly constituted with clear terms of reference.
- Draft Board and Committee reports, as required and advise report authors on the content and presentation of their papers.
- Maintain a Corporate Governance Handbook including policy and procedure relating to the register of gifts
