The Cosan Group (Raízen, Compass, Moove, and Rumo) is one of the biggest Brazilian conglomerates. It operates in the energy and logistics segments, with companies specialized in fuel distribution, sugar production, ethanol and electricity, distribution ofnatural gas and lubricants, and rail transportation, port lifting, and warehousing. The Cosan group holding company, Cosan S.A (CSAN3), is listed in the B3 Novo Mercado segment, meaning that it must meet Brazil’s highest corporate governance standards. Inaddition, as part of the corporate reorganisation of the Cosan Group, Cosan S.A implemented the program of ADS that is listed on the NYSE.

In turn, Moove is part of the Cosan Group and was formed in 2008 when the group acquired ExxonMobil’s businesses in Brazil. In July 2012, Moove entered the European Market setting up its European Headquarters and production facility in the UK. One of Brazil’slargest lubricant companies, Moove is a global producer and distributor of Mobil, Comma and other professional brands. Moove’s successful management model led to the export of the company’s products to countries such as Bolivia, Uruguay, Paraguay, Argentina,the United States, Spain, Scotland, England, Portugal, and France. With a production capacity of two million barrels of oil per year, Moove has two manufacturing plants, one in Rio de Janeiro (Brazil) and another in Kent (England). In Brazil, we focus on anexclusive Mobil-brand lubricant production and distribution, and distribution of base oils. Abroad, we market the Mobil-brand products in South America, North America and Europe, and under the Comma brand, we cover more than 40 countries in Europe and Asia.

More recently, in 2018 we welcomed the investment from CVC Funds’ in our business to assist with our international expansion. This was CVC Capital Partners first investment connected to Latin America in which they acquired a 30% stake in Cosan Lubes InvestmentsLimited, our holding company.

As a member of the Legal Department, you will be responsible for:

- Drafting, amending, negotiating, and reviewing, with independence, a wide variety of commercial contracts, corporate and employment documents, including but not limited to: T&Cs, sales and supply agreements, rebate agreements, service agreements, consultancyagreements, distributor agreements, NDAs, software licensing and SaaS agreements, board resolutions, shareholders written resolutions, shareholders agreements, IP licensing agreements, employment contracts, settlement agreements
- Providing general legal advice on various commercial issues ranging from corporate governance, UK corporate and commercial law, insurance, HR practices and employment relations.
- Managing external legal advisers in different jurisdictions.
- Advise and support business units in submitting bids, responding to invitations to tender.
- Preparing risk matrixes to the stakeholders and working with external counsel to manage disputes and litigation for the Group.
- Providing contract management support to enforce contract rights and ensure compliance with contractual obligations.
- Supporting the business in following the correct legal, compliance and governance procedures to ensure effective contracting, procurement, and negotiation.
- Developing and maintaining Moove’s standard template documentation for use by the business units.
- Managing relationships with external parties such as external lawyers, registrars and internal stakeholders.
- Supporting the Legal Department’s initiatives regarding compliance education and training.
- Maintaining an awareness of ‘best practice’ and ‘continual improvement’ in relation to the scope of work covered by the role**.**

**Essential**:

- UK qualified solicitor between 4-6 years PQE (as a guide) with training in a reputable firm or in-house legal function (preferably in the energy sector).
- Experience in drafting, reviewing, and negotiating varied commercial contracts and corporate documents in a fast-moving and entrepreneurial environment;
- Excellent knowledge and understanding of corporate and commercial law;
- Previous experience with going public (IPOs)
- Experience advising on governance requirements of public listed companies

**Ideal**:

- Experience in other relevant areas, including employment, data protection, competition, property, litigation, IP, etc.
- Experience within a multicultural business environment would be a distinct advantage.
- Fluency in other languages (preferably Portuguese, French and/or Spanish)
