**Reporting to **Head of Legal

The governance professional/clerk to the local governing bodies will initially be responsible for three schools in the Trust, Queensbury Academy in Dunstable, St Mark’s in London and Oxford Spires Academy in Oxford. There may be scope to develop this role in the future, to include clerking duties for additional Trust schools.

Most work can be carried out flexibly and virtually, including Local Governing Board meetings, with some visits to the above three schools as needed for Governors Disciplinary Committee hearings.

**Anthem Schools Trust**

As a multi-academy trust (or MAT), Anthem is first and foremost a school improvement organisation, responsible for ensuring that the public money we receive to run our 11 primary schools and five secondary schools is used to drive the best possible outcomes for the children and young people under their care.

Local Governing Bodies at Anthem have devolved responsibilities under an agreed Scheme of Delegation. They are accountable to the Board of Trustees. The key delegated responsibilities for Local Governing Bodies at Anthem, as an academy trust, are:

- supporting the Trust’s strategy and development plan
- providing understanding of the local context and the challenges and opportunities this presents
- acting as a sounding board for the school’s leadership team
- having an awareness of school standards and performance
- having awareness of how the school supports the welfare of looked after children, and provision for children with Special Educational Needs and Disabilities
- assistance with admission decisions, complaint panel hearings and Governors Disciplinary Committees.

**Main purpose of role**

The post holder will be responsible for ensuring the effective continuity of the individual local governing body’s business and records management for the three schools. The governance professional will need to work effectively with the Trust as well as respective Chair of Governors, the Headteacher and other local governors ensuring the bodies operate properly within the Trust Articles of Association,
Governance Framework and Scheme of Delegation and in line with (DfE) guidance, in particular the Governance Handbook.

In addition, the governance professional will be required to plan, prepare and record Governor Disciplinary Committees (where local governors review exclusions) and support with arranging stage 4 complaint panel hearings for the three schools. Please note GDCs must currently take place in-person.

The Governance Professional will work closely with the Trust National Team, supporting with Trust wide governance documents, training and templates and ensuring the GovernorHub online portal is efficiently maintained.

**Main duties and responsibilities**

**Effective administration of Local Governing Body meetings**
- The governance professional will work with the Chairs and Headteachers to plan, prepare and record the schedule of meetings (including taking minutes) in line with the Trust scheme of delegation and DfE guidance. Each local governing body has a two-hour meeting each half term, six across the academic year. Attendance can be virtual
- Produce, collate, and upload the agenda and papers to the GovernorHub portal so that recipients receive them at least seven days before any LGB meeting
- Record the attendance of governors at LGB meetings and take appropriate action regarding absence
- Advise the governing body on governance legislation and procedural matters where necessary before, during and after the meeting
- Take notes of the governing body meetings to prepare minutes, including indicating who is responsible for any agreed action. Record all decisions accurately and objectively with timescales for actions.
- Send drafts minutes to the Chair and Headteacher for amendment/ approval.
- Copy and circulate the approved draft to all governors within the timescale agreed. Keep a file of signed minutes, as an archive record.
- Share copies of signed minutes with the Trust Compliance Manager, for central Trust records
- Liaise with the Chair, prior to the next scheduled meeting, to receive an update on progress of actions agreed previously by the local governing body

**Effective administration of Local Governing Body membership**
- Maintain the Governance database of names, addresses and category of governing body members and their term of office
- Liaise with the Trust regarding succession planning for the Chair and governor vacancies as necessary and support with recruitment processes
