We have a fantastic opportunity for a Joint Venture Secretarial Assistant to join our team within Vistry Services, based at our Bristol or Exeter office. As our Joint Venture Secretarial Assistant, you will support in the provision of comprehensive and professionalsecretarial and governance services to both the Joint Venture Team, and the Groups portfolio of JV partnerships, ensuring all administrative, governance, statutory, corporate, and other regulatory requirements are met. The role will be a diverse mix of bothmanaging your own portfolio of JV Boards as well as engaging with the governance requirements for all of our JVs to ensure a consistent and best practice approach. You will report to the JV Governance Manager and will work alongside the Joint Venture AssistantCoordinator and Group Company Secretariat Team as necessary.

Vistry Group currently manages a portfolio of 25 Joint Venture partnerships, equating to 71 active Joint Ventures (JVs) across our Partnerships and Housebuilding Divisions. We are looking for a driven individual, with previous company secretarial or corporategovernance experience to provide direct support to the JV Governance Manager.

Essential
- Secretarial experience, to include management of meetings, attending meetings, board paper preparation and minute taking
- Experience preparing or supporting in the preparation of corporate resolutions, consents and formal board minutes
- Experience in managing stakeholder expectations and producing external communications
- Strong communication skills with the ability to listen and interact confidently with people at all levels

Desirable
- Holds a relevant UK Company Secretarial or Governance ICSA qualification or is training or willing to train towards a relevant qualification
- Experience of JVs or a similar secretarial/governance role for subsidiary companies
- Process and compliance driven with an excellent understanding of company secretarial and/or governance principles and duties, and a desire for continuous improvement

- Responsible for a portfolio of JV Boards - including the production of board papers, attending and taking minutes, documenting JV decisions and approvals (including the preparation and appropriate execution of corporate resolutions, consents, formal minutes),preparing the chair for board meetings, and any other board management requirements
- Assist the JV Governance Manager with the implementation and compliance of the JV governance framework, including an annual effectiveness review to ensure best practice and internal audit enquiries
- Provide support to the JV Governance Manager on the production of corporate resolutions and consents, and formal board Minutes for JV decisions and approvals
- Provide support to the JV Governance Manager on all JV document execution including loan variations, contracts, deeds etc., and provide guidance on process and execution requirements as applicable
- In conjunction with the JV Governance Manager, assist in the timely completion and coordination of the financial statutory audit and account process
- Provide adhoc support to the JV Governance Manager as needed on reviewing JV board packs in preparation for issue to the board
- Lead on the review and coordination of the annual schedule of board meetings with support from the JV Assistant Coordinator
- Support in the completion of JV document registers, and compliance checks for completion of JV document registers within the regional businesses
- Additional roles and responsibilities to meet the business needs
