On behalf of this organisation, AMS are looking for a **Company Secretarial Assistant**for a **12- Month** contract based in **London**
**Purpose of the Role is**:
- To support the provision of professional company secretarial, corporate legal and governance services to CIB's UK legal entities, including BNP Paribas London Branch.
- To contribute to the activities of the UK Corporate Law & Governance platform as a member working with all BNP Paribas' UK entities and businesses.
**As a Company Secretarial Assistant, you will be responsible for**:
- Corporate compliance responsibilities for CIB legal entities and BNPP SA London Branch including the maintenance of statutory records, corporate filings, LEI filings and any other regulatory filings that may be required.
- Assisting with the preparation for the annual report and accounts for the UK CIB entities, drafting content as required.
- Business unit support for transactions and corporate matters as required including corporate restructuring, liquidations, share capital transaction and distributions.
- Board and committee support to the legal entities - drafting papers, attendance at meetings and taking minutes.
- Board governance - Assisting in implementing and facilitating the processes and procedures to manage directors and the activities of boards (training, drafting guidelines, providing advice, guidance, on and off-boarding procedures, inductions, effectivenessreviews).
- Monitoring legal/regulatory developments impacting the UK legal entities, drafting briefing papers as and when required.
- Ensuring governance reference documents, guidelines, policies are reviewed routinely and updated.
- Assisting with the day-to-day corporate administration of the UK legal entities in accordance with all rules, regulations and best practice (including the maintenance of authorised signatory arrangements).
- Member of the Corporate Law platform, contributing to the work of the platform providing deliverables as required to BNP Paribas businesses across the UK.
- Ad-hoc projects as and when requested by the Senior Adviser Corporate Governance
Essential
- Background in company secretarial activities, corporate governance or corporate legal activities.
- Experience of providing company secretarial/corporate governance support to legal entities, boards and committees.
- Knowledge of company law, corporate governance and company secretarial matters.
- Good interpersonal skills - able to develop relationships, manage stakeholders, communicate effectively and work in teams across disciplines.
- Flexible able to respond to different situations.
- Good written and communication skills
Desirable
- Financial services/compliance/risk governance experience.
- Experience of corporate statutory databases/software and electronic board room portals.
- Pro-active, solutions-based approach.
- Resilient able to work under pressure and to deadlines.
- Good attention to detail
- Good drafting skills - minutes, policies and procedures, guidance and legal documents.
