Supporting the Associate Director of Corporate Governance, the Postholder will be responsible forhelping to shape the ICBs overarching Governance Frameworks in line with corporate strategy. With responsibility for delivering specific programmes and projects; which will include the following,although not exclusively: To develop and manage ICB-ICS Risk and Board Assurance Frameworks, ensuring they driveour core business, including regularly analysing areas of under-performance and developingplans to address any deficiencies; To develop and manage integrated governance strategies and supporting policies, including apolicy co-ordination system required for aligning Corporate, Clinical, Financial, Information &Research Governance policy matters; To develop and maintain the Corporate Registers for Conflicts of Interest and Gifts & Hospitalityacross the ICB, undertaking ICB & ICS personnel training or awareness programmes asrequired; To develop and manage ICBs Access to Information (FOIA & SAR) and other IG processesand systems, including response to UK GDPR and supporting the ICBs DPO, undertaking ICB& ICS personnel training or awareness programmes as required; To ensure there are well-defined Corporate Governance Frameworks and Systems of InternalControl, including ICB Standing Orders and Schemes of Delegation & Reservation; To take responsibility for regularly undertaking complex research into governance proceduresand best practices to capture into and implement within the ICB and wider ICS as relevant; To work closely with the Director of Corporate Governance, CEO, Chair, Non-Executive andExecutive Directors to ensure that the ICB operates to the highest standards of probity, in linewith statutory and legislative requirements; To lead on promoting a Good Governance Culture, ensuring probity and integrity, fosteringproductive relationships with all staff to ensure they act as local champions of the higheststandards of ethical conduct, including leading on providing regular training, awareness andinsights to staff as required; To ensure that all we do is carried out in accordance with ICBs Constitution, and in accordancewith relevant legislation and Codes of Practice; To maintain regular contact with all ICB stakeholders, engaging with them on sensitive, complex, contentious and confidential governance issues, and explaining complexities; To act as Subject Matter Expert and/or Technical Expert on all key result areas, and to understand and provide interpretative advice & guidance on Governance topics to all stakeholders, acting as a first point of call prior to obtaining any external professional advice; To lead and co-ordinate the ICBs planning & policy arrangements required for maintaining a well-established Corporate Governance Framework including leading on all aspects of Governance policy implementation and service development for the ICB; To be responsible for the identification, development, implementation and ongoing management of strategic long-term ICB plans that impact the ICB and ICS including acting as the Governance Lead for related Change Management as the plans progress; To write and develop statistical reports on governance across the ICB and System, producing high quality and detailed reports for ICB committees and Board; To provide support in day-to-day management of the ICB and its relationships with other bodies, especially in assisting in business process transformation and change programmes; To line manage, appraise and oversee the ICB Governance and Complaints Teams, helping them to develop / implement relevant systems and aligned personal objectives; To routinely provide professionally-informed analytics, insights, interpretations and comparisons of a range of options pertaining to extremely complex guidance from an extensive range of sources; To support the Associate Director and Director of Corporate Governance for all budgets associated with the management of the function; To regularly present to internal and external stakeholders as required on Subject Matter Expert related areas, ensuring that the Good Governance message is understood by and complied with by all ICB personnel and relevant stakeholders.
