Role Overview

In this role, you'll lead legal and corporate governance initiatives to support and accelerate Orbital's commercial growth across the US, Canada, and EMEA, working closely with the executive team. You'll provide a broad range of legal support on issues for the business with complete knowledge and understanding in client/commercial contracting, sales orders, change orders, IP, technology, and commercial vendor and supply contracts.

Key Responsibilities

Strategic Counsel

  • Advise company management on complex matters, delivering concise and clear messages on potential risks in contractual, regulatory, compliance, financial, and legal areas.

Commercial Agreements & Negotiation

  • Structure, review, and negotiate a variety of commercial agreements including master service agreements (client and vendor), complex commercial lease documents, sales orders, change orders, vendor contracts, and other agreements.

Risk Management & Governance

  • Manage risk and ensure business and compliance needs are accurately reflected in all agreements while developing and implementing contract procedures and templates to improve operational efficiency.

IP Strategy & Regulatory Compliance

  • Develop and execute a comprehensive, business-aligned intellectual property strategy to protect core innovations and manage the company's global regulatory and trade compliance obligations.

What We're Looking For
  • Law degree from an accredited institution and admission to a state bar or equivalent legal qualification.

  • Demonstrated experience structuring, negotiating, and closing complex technology and commercial transactions.

  • Previous in-house experience in the data center or a related technology infrastructure industry is strongly preferred.

  • Excellent verbal and written communication skills with the ability to clearly convey complex legal concepts to business leaders and diverse audiences.

  • A practical, business-minded executive with a strategic, solution-oriented approach to legal matters.

  • Strong ethical standards, integrity, and a demonstrated commitment to achieving business success through responsible legal practices.

  • Ability to work independently and balance strategic leadership responsibilities with hands-on legal work as needed.

  • Practised law in at least one of our core jurisdictions (ideally US)
