About the Role

We are seeking a General Counsel to lead all legal and compliance matters for the business. This role will oversee internal legal operations and manage external advisers to ensure swift, high-quality and cost-efficient decision-making while protecting the firm from undue risk.

With three funds currently in operation and international expansion underway, the ideal candidate will have deep experience in investment fund structuring and regulation across the UK, Jersey and ideally other jurisdictions as well. This person must be comfortable handling complex, ambiguous issues without established precedent.

Key Responsibilities

Corporate Governance

  • Oversee governance across the TopCo and all fund entities.

Fundraising & Shareholder Management

  • Lead legal documentation for capital raises and fund formation.
  • Manage cap table administration, shareholder onboarding and required filings (e.g., Companies House).

External Counsel & Advisor Management

  • Serve as the primary point of contact for legal, tax, nd regulatory advisers.
  • Coordinate external workstreams to ensure timely and commercially sound outcomes.

Regulatory & Compliance Oversight

  • Working with external advisors to ensure compliance with applicable fund and corporate requirements in the UK, US and Jersey.

Disputes & Legal Risk Management

  • Support the handling and resolution of disputes, pre-litigation matters and lawsuits as required with external counsel.

International Expansion

  • Research, plan and execute legal strategies to launch the Collective Equity model into new jurisdictions.

Must-Have Qualifications

  • Significant legal experience within private equity, venture capital or alternative investment funds.
  • Demonstrated experience managing external legal and professional service providers.
  • Strong understanding of fundraising processes, fund documentation and investor frameworks.
  • Strong commercial judgement, with the ability to balance legal rigour and business pragmatism.
