We are currently recruiting for a bilingual (English and Mandarin) Associate / Associate Solicitor (NQ–3 PQE) to join our practice, focusing mainly on corporate, M&A, reorganisation, and banking & finance related matters.

Role Description | 职位说明

This is a full-time role for an Associate / Associate Solicitor (Corporate, Banking & Finance) at Han Kun (London). The position is based in the City of London, with some flexibility for hybrid work.

The role involves handling corporate, financing and commercial transactions, often in cross-border contexts, and working closely with partners, clients, and international legal teams.

1. Duties | 岗位职责

On a daily basis, you will work in a small, dynamic team and report directly to senior lawyers or partners.

Key responsibilities include (without limitation):

• Handling or assisting in corporate, banking and finance transactions, including drafting, amending, negotiating and finalising transaction documents (SPA/SSA, shareholder agreements, loan/facility agreements, guarantees, debentures, share charges, etc.);

• Conducting due diligence, managing corporate filings and reorganisation steps under English law;

• Liaising and coordinating with clients, counterparties, banks and other advisors in both English and Mandarin;

以中英文与客户、交易对手方、银行及其他顾问沟通协调;

• Assisting with client relationship management, business development and cross-office collaboration;

• Ensuring compliance with SRA Standards and Regulations and internal KYC/AML requirements;

• For mid-level associates: supervising trainees or assistants where appropriate.

2. Requirements | 任职要求

2.1 Skills | 技能要求

• Language: Fluent in English and Mandarin (spoken and written);

• Legal knowledge: Strong foundation in UK company, corporate, and banking law;

• Drafting & negotiation: Skilled in drafting and reviewing complex corporate and financing documents;

• Research & analysis: Strong analytical ability for transaction structures and legal risks;

• Commercial awareness: Understanding of business and financial drivers in cross-border transactions;

2.2 Education | 学历要求

• LL.B (2:1 or above) and LL.M (Merit or above) from a top 15 UK university; or
• Equivalent qualifications from a top UK, US, Singapore, or Hong Kong university, majoring in corporate, banking or commercial law;

• A specialisation in banking and finance law is an advantage.

• 取得英国前15名大学的 法学学士(2:1以上)及法学硕士(Merit以上)学位;或

• 在英国、美国、新加坡或香港顶尖院校获得公司法、商法或银行金融法方向的相关学位;
• 如具备银行与融资法方向的专业背景将优先考虑。

2.3 Experience | 工作经验

• Qualified Solicitor of England & Wales;

英格兰及威尔士执业律师资格;

• NQ–3 PQE, with solid experience in corporate, banking, or financing transactions;

具备 NQ–3 年执业经验,从事公司法、银行或融资相关工作;

• Prior experience in reputable international, UK, or Chinese law firms or financial institutions preferred;

曾在知名国际律所、英国律所或中国律所/金融机构工作者优先;

• Exposure to LMA-style financing or cross-border Chinese client work is a plus.

熟悉 LMA 标准融资文件或具有中资客户跨境项目经验者优先。

3. Additional Information | 其他信息

• Working arrangement: minimum 4 days in-office (Bank area, London);

工作安排: 每周至少 4 天在伦敦 Bank 区办公室办公;

• Visa status: must have the right to live and work in the UK;

• Have you ever worked with or for Chinese clients, financial institutions, or participated in cross-border deals involving China or Asia?
