Corporate & Commercial Partner – Boutique Law Firm, Central London My client is seeking an experienced Corporate & Commercial Partner to join their boutique legal practice based in the heart of London. They are looking for someone who has already operated at partner level within a mid‑tier or boutique firm and who enjoys working in a relaxed, non‑corporate environment. The ideal candidate will be commercially astute, personable, and able to build lasting client relationships with ease. About the Firm This is a rare opportunity to lead and grow the corporate and commercial offering within a close‑knit boutique firm that serves clients across the UK, with London as a key hub. The practice covers a broad range of areas including commercial, dispute resolution, and employment law, and benefits from a strong partnership with a well‑established accountancy firm—providing a steady and consistent flow of high‑quality work. The Role We are looking for a Corporate & Commercial Solicitor or Legal Executive ready to step in at partner level. You will play an integral role in developing new business, nurturing existing relationships, and advising clients on a wide range of corporate and commercial matters, including: Joint Ventures & Shareholder Arrangements Advising early‑stage and scaling businesses on shareholder agreements, bespoke articles, and founder arrangements. Recent clients include professional services consultancies, accountancy practices, recruitment firms, product manufacturers, construction companies, and property developers. Investment Transactions (Debt & Equity) Supporting clients through fundraises from £1m‑£5m, including equity investments, crowdfunding, convertible loan notes, and subscription agreements. Highlights include a £16m equity raise for a longstanding food & drink client. Mergers & Acquisitions Acting for both buyers and sellers in share and asset sales, typically valued between £1m‑£5m. Recently advised on an £18m sale of a family‑owned business to a trade buyer. Corporate Restructuring Leading corporate restructuring projects ahead of sales or investment rounds. Work includes reorganising groups for significant transactions, including an £18m share sale and an £20m property sale. Institutional & Private Lending Advising on facilities and security documentation for institutional lenders (typically £3m‑£5m). Supporting private lenders with B2B loans ranging from £500k‑£1m. Growth Shares & Incentive Schemes Advising on growth shares, EMI schemes, and incentive structures, including joint work with employment colleagues during exits or disputes. Commercial Settlements & Contracts Drafting and negotiating commercial agreements including terms of business, framework agreements, SaaS contracts, consultancy agreements, manufacturing/distribution agreements, licensing, agency agreements, and data protection documentation. Recent clients include professional services firms, an AIM‑listed tech company, and a global sports footwear platform.
