Governance Manager and Deputy Company SecretaryTake the next step in your career now, scroll down to read the full role description and make your application.The Governance Manager and Deputy Company Secretary will manage the governance and support the executive, legal and compliance functions of ICE Benchmark Administration Limited (IBA), part of the ICE Group of companies.IBA is a regulated benchmark administrator and provider of other data administration services supporting financial and commodity markets globally.IBA’s business lines currently include systemically important global financial and commodity benchmarks, sustainability data platforms for the cocoa and coffee markets, and carbon market data solutions.JOB PURPOSEManagement of overall IBA governance framework and responsibilities under direction of President and Head of Legal and ComplianceManagement of all internal and external board and governance committeesSupport on KYC and AML processes under direction of Compliance DirectorAdministrative support to the Directors and PresidentDUTIES AND RESPONSIBILITIESCarry out governance, onboarding and administrative responsibilities across IBA’s business lines, including:Ownership of IBA Governance Manual, IBA’s overarching governance framework and process document including committee role and procedures, terms of reference, forward looking agendas: Preparation, annual review, ad hoc updates.Management of, and deputy Company Secretary to, IBA’s Board, Audit and Risk Committee, and Nominating and Corporate Governance Committee: director onboarding, ownership of terms of reference and roles and procedures, meeting organisation, drafting and approving agendas, collating and distributing papers and drafting cover notes, drafting minutes, follow-up action management, organising conflicts of interest reviews.Management of IBA statutory books and Companies House processes (with support from central legal function and statutory reporting teams): including registers for members, directors and secretaries.Secretary to IBA’s Product Oversight Committees (four committees, three with external participants): members onboarding, ownership of terms of reference and roles and procedures, meeting organisation, drafting agendas, collating and distributing papers and drafting cover notes, drafting minutes, follow-up action management, organising conflicts of interest reviews.Secretary to internal IBA Executive Risk and Technology Committees and other internal committees/processes (e.g. IBA ICE CoT membership appeals): meeting organisation, ownership of terms of reference and roles and procedures, drafting agendas, collating and distributing papers and drafting cover notes, drafting minutes follow-up action management.Preparation of Governance papers for the Board, Board Committees and Oversight Committees.Supporting Executive, Legal and Compliance teams in preparing papers for the Board, Board Committees and Oversight Committees.Managing all Board, Board Committees and Oversight Committees information through the Diligent portal.Promoting corporate governance best practice within IBA, including through awareness and educating the team regarding key updates, legal and regulatory guidance and industry best practice.Carrying out AML and other KYC/due diligence checks on customers and vendors with the Compliance team.Supporting the Directors and President in executing governance responsibilities.SKILLS/EXPERIENCE REQUIREDEducated to graduate level or equivalent.Governance and compliance experience essential in a UK entity. Beneficial if this has been obtained in a regulated financial entity.Experience of document drafting and management, particularly governance policies and procedures.Experience organising official internal and external committees and meetings.Experience in handling confidential and sensitive data and issues.Strong organisational skills and high level of IT literacy.Strong interpersonal skills to build good working relationships with internal and external contacts and work colleagues at all levels. xwwtmva Legal, Compliance or Governance qualifications are beneficial (e.g. part or fully CGI (Chartered Governance Institute (f.k.a.
