About the Role:


The Legal Counsel is an integral member of the Securities Legal Team within the broader Legal function of the Group.


The work is primarily transactional and matters in connection with securities products. You will draft, review and advise on securities-related documentation and help with the execution of such documentation following internal requirements policies and external regulations.


Responsibilities:


  • Managing trades which includes reviewing drafts, preparing execution versions, drafting relevant documents and supporting colleagues and the London MTN desk with any queries.
  • Working on repackaging trades which involves tasks such as requesting ISINs, and reviewing drafts.
  • Providing transaction-related administrative assistance as required, including arranging for documents to be signed and handling queries from other departments.
  • Supporting and coordinating the due diligence process for capital markets transactions.
  • The management of reputational and conduct risk, including identifying non-standard factors in transactions and escalating material issues to co-heads of Securities Legal.
  • Provide legal advice or support in relation to various projects and initiatives taking place in the firm at any given time, for example, cross-border licensing reviews and ESG issues.


Experience Required:


  • Qualified solicitor or equivalent qualification.
  • Experience gained working in a City Law firm or an in-house legal team with a relevant skill set)
  • At least 1 year of post-qualification work experience.
  • Strong general knowledge of English securities law and regulation, as well as a working knowledge of commercial law and an appreciation of how other legal systems operate.
  • Strong communication skills and adept at establishing professional credibility at all levels within the business, with the ability to build effective working relationships with key stakeholders.
  • Demonstrates confidence and is adept at negotiating and influencing others.
  • Excellent planning, organisation and coordination skills with the ability to work under pressure, to tight deadlines.
  • Strong levels of business understanding and commercial acumen.
  • Ability to work independently and as part of a team.
  • Highly articulate and able to apply new skills effectively.
  • Proficiency in French would be desirable but not a requisite.
